Participant desires to have the opportunity to be a holder of the RSUs subject to the terms and conditions of this Agreement, the Award Notice and the Plan.
The Plan, the Award Notice and this Agreement shall be administered by the Committee pursuant to the Plan.
Subject to the restrictions, forfeiture provisions and other terms and conditions set forth herein and in the Plan and Award Notice, the Company grants to Participant an Award of the number of RSUs identified in the Award Notice, which after the applicable Vesting Date, as described below, shall entitle Participant to receive the number of shares of Company Stock equal to the number of RSUs that have become vested on the applicable Vesting Date.
This Agreement and the Award Notice are subject to the terms and conditions of the Plan, and the terms and conditions of the Plan shall control except to the extent otherwise permitted or authorized in the Plan and specifically addressed in this Agreement.
This Agreement together with the Award Notice and the Plan supersede any and all other prior understandings and agreements, either oral or in writing, between the parties with respect to the subject matter hereof and constitute the sole and only agreements between the parties with respect to the said subject matter.
