RSU Award Agreement definition

RSU Award Agreement means a written agreement between the Company and a holder of a RSU Award evidencing the terms and conditions of a RSU Award grant. The RSU Award Agreement includes the Grant Notice for the RSU Award and the agreement containing the written summary of the general terms and conditions applicable to the RSU Award and which is provided to a Participant along with the Grant Notice. Each RSU Award Agreement will be subject to the terms and conditions of the Plan.

RSU Award Agreement means a written confirmation agreement, substantially in the form of Schedule C – RSU Award Agreement, setting out the terms and conditions relating to a Restricted Share Unit and entered into in accordance with Section 7.2;

RSU Award Agreement means an individual award agreement, by and between Core Scientific, Inc. (or any of its predecessors in interest, e.g., MineCo Holdings, Inc.) and a grantee evidencing a grant of RSUs pursuant to the 2018 Equity Plan or the 2021 Equity Plan, as applicable.

• Nothing contained herein or otherwise shall be construed to limit the Company’s or any of its subsidiaries’ ability to amend, suspend, or terminate any employee benefit plan or policy, at any time without providing Executive notice, and the right to do so is expressly reserved; provided, however, that any such amendment would not override the terms of this Agreement, the RSU Award Agreement and the PSU Award Agreement.

• The RSU Award Agreement and the PSU Award Agreement shall be governed by the terms and conditions set forth therein, respectively, and the terms and conditions of the Management Incentive Plan.

• The Company will waive the continued employment requirement of eligibility in accordance with Section 4(b) of the 2022 RSU Award Agreement for the Period of Restriction (as defined in the 2022 RSU Award Agreement), ending March 2, 2025.

RSU Award Agreement means the written agreement evidencing the grant of a restricted stock unit representing a right to receive a share of Common Stock granted under the Stock Plan in satisfaction of a Participant’s RSU Pool Award.

RSU Award Agreement means a written agreement between the Company and a Participant with respect to an RSU Award.

RSU Award Agreement has the meaning set forth in Section 2.3(b).
