Aytu Stockholders Meeting means the special meeting of the stockholders of Buyer to be held to consider the approval of the issuance of shares of AYTU Common Stock to be issued upon conversion of the Aytu Preferred Stock.

  • If this Agreement is terminated by either Party pursuant to Section 7.02(d) and Aytu had effected a Target Adverse Recommendation Change prior to the Aytu Stockholders Meeting (including any adjournment or postponement thereof), Aytu shall pay to Target (by wire transfer of immediately available funds) the Termination Fee within five Business Days of such Termination.

  • The Target shall use its reasonable best efforts to cooperate with Aytu to hold the Target Stockholders Meeting on the same day and at the same time as the Aytu Stockholders Meeting as soon as reasonably practicable after the date of this Agreement, and to set the same record date for each such meeting.

  • Company Stockholders Meeting has the meaning set forth in Section 6.2(a).
