B1 Remaining Shares definition

B1 Remaining Shares means the B1 Ordinary Shares which are not B1 Repurchase Shares; and

  • On the Company acquiring the B1 Repurchase Shares on the Vesting Date in terms of Article 3.7, all of the B1 Remaining Shares automatically and without any further action rank pari passu with the ordinary shares in respect of participating in the profits of the Company or any distribution of the assets or capital of the Company (including dividends or other distributions to shareholders).

  • Option Shares shall have the meaning ascribed to such term in Section 2.2(a).

  • Per Share Purchase Price equals $1.00, subject to adjustment for reverse and forward stock splits, stock dividends, stock combinations and other similar transactions of the Common Stock that occur after the date of this Agreement.

  • Initial Shares means a number of Registrable Securities equal to the lesser of (i) the total number of Registrable Securities and (ii) one-third of the number of issued and outstanding shares of Common Stock that are held by non-affiliates of the Company on the day immediately prior to the filing date of the Initial Registration Statement.
