Backstop Claims definition

Backstop Claims means, in relation to a Backstop Party, the amount of its Senior Claims as of the Backstop Deadline.

  • Released Class Claims means the claims being released as described in Paragraph 5.2 below.

  • Term Loan Claims means any Claim on account of, arising under, derived from, or based upon the Term Loan Documents, including Claims for all principal amounts outstanding, interest, fees, expenses, costs, and other charges arising thereunder or related thereto.

  • Settlement Classes means the Ontario Settlement Class and the Quebec Settlement Class.

  • Subordinated Claims shall have the meaning set forth in Section 3.6(c)(i) hereof.

  • General Unsecured Claims means any Claim that is not Secured and is not: (a) an Administrative Claim; (b) a Priority Tax Claim; (c) an Other Priority Claim; (d) a Subordinated Claim; or (e) an Intercompany Claim.

  • Prepetition means arising or accruing prior to the Petition Date.

  • Plan of Reorganization means any plan of reorganization, plan of liquidation, agreement for composition, or other type of plan of arrangement proposed in or in connection with any Insolvency Proceeding.

  • Priority Claims means, collectively, Priority Tax Claims and Other Priority Claims.

  • Settlement Class Counsel means X. Xxxxxxxx Xxxxx of Xxxxxx X. Xxxxxx, A Professional Law Corp.; and Xxxx Xxxxxxx of Xxxxx Xxxxx & Xxxxxxx LLP.

  • Noteholder Claims means all Obligations in respect of the Notes or arising under the Noteholder Documents or any of them, including all fees and expenses of the Trustee thereunder.

  • Settlement Class means, in respect of each Proceeding, the settlement class defined in Schedule A.
