Bearer Instruments definition

Bearer Instruments has the meaning given to it in Clause 3.3.
Bearer Instruments has the meaning given to it in Clause 3.3. “CGI” means a CGI Permanent Global Instrument or a CGI Temporary Global Instrument. “CGI Permanent Global Instrument” means a Permanent Global Instrument representing Instruments for which the relevant Final Terms or the Drawdown Prospectus, as the case may be, specify that the New Global Instrument form is not applicable. “CGI Temporary Global Instrument” means a Temporary Global Instrument representing Instruments for which the relevant Final Terms specify that the New Global Instrument form is not applicable. References to a “Clause” is, unless the context indicates otherwise, to a clause in a section hereof. -2-
Bearer Instruments means Instruments which are specified in their Conditions as being in bearer form;​

Examples of Bearer Instruments in a sentence

  • Bearer Instruments of one Specified Denomination may not be exchanged for Bearer Instruments of another Specified Denomination.

  • Registered Instruments may not be exchanged for Bearer Instruments.

  • Bearer Instruments of one denomination may not be exchanged for Bearer Instruments of any other denomination.

  • Global Bearer Instruments may only be exchanged for definitive Bearer Instruments in very limited circumstances.While the Instruments are represented by Global Instruments, the Issuer will discharge its payment obligation under the Instruments by making payments through the relevant clearing system.

  • Bearer Instruments shall be serially numbered and Bearer Instruments in definitive form shall be issued with Coupons (and, where appropriate, Receipts and/or Talons) attached, save in the case of Zero Coupon Instruments, in which case references to interest (other than in relation to Default Interest), Coupons and Talons in the Terms and Conditions are not applicable.

  • Bearer Instruments may not be exchanged for Registered Instruments, except as required by law.

  • Registered Instruments are not exchangeable for Bearer Instruments.

  • Global Bearer Instruments will (i) if the Bearer Instruments are intended to be issued in NGN form, as stated in the Series Terms, be delivered on or prior to the original issue date to a common safekeeper for the Clearing Systems; and (ii) if the Bearer Instruments are intended to be issued in CGN form, as stated in the Series Terms, be delivered on or prior to the original issue date to a common depositary for the Clearing Systems.

  • Title to Bearer Instruments and Receipts, Coupons and Talons shall pass by delivery.

  • Global Instruments may be exchanged for definitive Bearer Instruments or Certificates (as applicable) in certain limited circumstances set out in the Trust Deed.

  • Subject Instruments shall nonetheless mean such instrument, agreement or other document, as the case may be, in its entirety, including any portions thereof which shall have been so redacted, deleted or otherwise not filed.

  • Copyright Security Agreements means the Copyright Security Agreements made in favor of Agent, on behalf of itself and Lenders, by each applicable Credit Party.

  • Copyright Security Agreement means each Copyright Security Agreement executed and delivered by Grantors, or any of them, and Agent, in substantially the form of Exhibit A.

  • Proper Instructions means Written Instructions.

  • Assignment of Contracts shall have the meaning provided in Section 5.07.

  • Assignment of Leases With respect to any Mortgaged Property, any assignment of leases, rents and profits or similar agreement executed by the Mortgagor, assigning to the mortgagee all of the income, rents and profits derived from the ownership, operation, leasing or disposition of all or a portion of such Mortgaged Property, in the form which was duly executed, acknowledged and delivered, as amended, modified, renewed or extended through the date hereof and from time to time hereafter.

  • General Security Agreement means the general security agreement dated on or about the date hereof given by Borrower in favour of Lender in respect of the Obligations.

  • Dangerous instrument means any instrument, article or substance which, under the circumstances in which it is used or attempted or threatened to be used, is capable of causing death or serious physical injury, and includes a "vehicle" or a dog that has been commanded to attack.

  • Commercial Agreements means all or any Agreement or Agreements with any third party including but not limited to broadcasting, media, sponsorship, marketing, merchandising, licensing and advertising, for the general promotion of each or any of the Clubs in the Competition and the Company, and which have the object of promoting the welfare and general commercial interest and increasing the financial resources of each of the Clubs, the Company and the Competition.

  • Subsequent Transfer Instrument Each Subsequent Transfer Instrument, dated as of a Subsequent Transfer Date, executed by the Trustee and the Company substantially in the form attached hereto as Exhibit D, by which Subsequent Mortgage Loans are transferred to the Trust Fund.

  • Trade Instruments means any performance bonds, advance payment bonds or documentary letters of credit issued in respect of the obligations of any member of the Group arising in the ordinary course of trading of that member of the Group.

  • Letter of Tender means the document entitled letter of tender or letter of tender, which was completed by the Contractor and includes the signed offer to the Procuring Entity for the Works.

  • Trademark Security Agreements means the Trademark Security Agreements made in favor of Agent, on behalf of itself and Lenders, by each applicable Credit Party.

  • Non-Controlling Note means any Note (other than the Controlling Note), including any New Note designated as a “Non-Controlling Note” hereunder pursuant to Section 32.

  • Promissory Notes Security", "Record", "Security Account", "Software", and "Supporting Obligations".

  • Trademark Security Agreement means each Trademark Security Agreement executed and delivered by Grantors, or any of them, and Agent, in substantially the form of Exhibit D.

  • Trademark Assignment Agreement has the meaning set forth in Section 2.01.

  • Written instrument means a written or printed agreement, bill of sale, or any other written or printed note or memorandum of the sale or exchange of a work of fine art by an art merchant and includes a written or printed catalog or other prospectus of a forthcoming sale as well as any written or printed corrections or amendments thereof.

  • Intangible Property shall have the meaning given to such term in Section 2.1(c) hereof.

  • Interest Protection Agreement of any Person means any interest rate swap agreement, interest rate collar agreement, option or futures contract or other similar agreement or arrangement designed to protect such Person or any of its Subsidiaries against fluctuations in interest rates with respect to Indebtedness.

  • Assignment of Lease means the Assignment of Lease to be executed by the Seller at the Closing with respect to each parcel of Leased Real Property listed on Section 3.16(b) of the Disclosure Schedule, in a form to be mutually agreed by the Seller and the Purchaser.

  • Proper Instruction means a writing signed or initialed by one or more person or persons as the Board shall have from time to time authorized. Each such writing shall set forth the specific transaction or type of transaction involved. Oral instructions will be deemed to be Proper Instructions if (a) FAS reasonably believes them to have been given by a person previously authorized in Proper Instructions to give such instructions with respect to the transaction involved, and (b) the Investment Company, or the Fund, and FAS promptly cause such oral instructions to be confirmed in writing. Proper Instructions may include communications effected directly between electro-mechanical or electronic devices provided that the Investment Company, or the Fund, and FAS are satisfied that such procedures afford adequate safeguards for the Fund's assets. Proper Instructions may only be amended in writing.

  • Record Documents mean the drawing set, Specifications, and other materials maintained by Contractor that documents all addenda, Architect’s Supplemental Instructions, Change Orders and postings and markings that record the as-constructed conditions of the Work and all changes made during construction.

  • the previous Instrument of Government means the Instrument of Government relating to the Corporation which had effect immediately before 1st January 2008;

  • Trademark Agreement means any grant of security interest in trademarks, made by any Loan Party in favor of the Administrative Agent, or any of its predecessors, including, without limitation that certain Trademark Collateral Security and Pledge Agreement, dated as of October 18, 2013 from the Company and Globe Inc. to the Administrative Agent.

  • Assignment of Management Agreement means the Assignment of Management Agreement and Subordination of Management Fees, dated the same date as this Loan Agreement, among Borrower, Lender and Property Manager, including all schedules, riders, allonges and addenda, as such Assignment of Management Agreement may be amended from time to time, and any future Assignment of Management Agreement and Subordination of Management Fees executed in accordance with Section 6.09(d).
