Belgian Borrowing Subsidiary definition

Belgian Borrowing Subsidiary means a Borrowing Subsidiary that is organized under the laws of Belgium or any political subdivision thereof.
Belgian Borrowing Subsidiary means any Subsidiary that is incorporated or otherwise organized under the laws of Belgium or any political subdivision thereof that has been designated as such pursuant to Section 2.20 and that has not ceased to be a Belgian Borrowing Subsidiary as provided in such Section.

  • In the event that any Borrowing Subsidiary shall cease to be a Subsidiary, the Borrower Agent will promptly execute and deliver to the Administrative Agent a Borrowing Subsidiary Termination terminating its status as a Borrowing Subsidiary and, if applicable, a Belgian Borrowing Subsidiary, subject to the proviso in the immediately preceding sentence.

  • Borrowing Subsidiary means, at any time, any Subsidiary of the Company designated as a Borrowing Subsidiary by the Company pursuant to Section 2.19 that has not ceased to be a Borrowing Subsidiary pursuant to such Section or Article 7.

  • Foreign Borrowers means the Canadian Borrower, the Dutch Borrower, and the U.K. Borrowers.

  • Dutch Borrower means any Borrower that is organized under the laws of the Netherlands.

  • Designated Borrower has the meaning specified in the introductory paragraph hereto.

  • Canadian Borrowing Base means at any time an amount equal to the sum of the Dollar Equivalent of, without duplication:

  • Canadian Subsidiary Guarantor each Canadian Subsidiary of any Canadian Borrower which executes and delivers the Canadian Guarantee and Collateral Agreement, in each case, unless and until such time as the respective Canadian Subsidiary Guarantor ceases to constitute a Canadian Subsidiary of the Parent Borrower or is released from all of its obligations under the Canadian Guarantee and Collateral Agreement in accordance with the terms and provisions thereof.
