Notwithstanding the foregoing, neither the issuance of new Liquor Licenses nor the delivery by any Liquor Entity of an Interim Beverage Services Agreement shall be a condition precedent to Purchaser's obligation to close the transactions contemplated by this Agreement provided that Seller complies with its obligations under this Section 14.01(r).
