Bid Borrowing Request means a Bid Offer request and certificate, duly completed and executed by an Authorized Officer of each Borrower, substantially in the form of Exhibit B-1.

Examples of Bid Borrowing Request in a sentence

  • The Administrative Agent shall promptly, but in any event on the same Business Day, notify each Lender of its receipt of a Competitive Bid Borrowing Request and the principal amounts of the Competitive Bid Loans allocated to each participating Lender.

  • Such notice shall include (i) the aggregate principal amount of Bid Loans for which Bid Loan Quotes have been received for each Interest Period specified in the Bid Borrowing Request, (ii) the respective principal amounts and interest rates so offered, and (iii) if applicable, limitations on the aggregate principal amount of Bid Loans for which offers in any single Bid Loan Quote may be accepted.

  • The Agent shall ignore any Bid Loan Quote that (i) fails to include all of the information required under this paragraph, (ii) contains qualifying, conditional or similar language; (iii) proposes terms other than or in addition to those set forth in the applicable Bid Borrowing Request, or (iv) arrives after the time required above.

  • The Administrative Agent shall immediately advise the Lenders making the accepted offers of the contents of the Competitive Bid Borrowing Request.

  • The Administrative Agent shall promptly notify (by telephone or otherwise, to be promptly confirmed by telecopy or other writing) each Lender of each Competitive Bid Borrowing Request received by it and the terms contained in such Competitive Bid Borrowing Request.

  • The Borrower shall repay to the Administrative Agent for the account of each Participating Lender which has made a Competitive Bid Advance on the last day of the Interest Period for such Competitive Bid Advance (such Interest Period being that specified by the Borrower in the related Competitive Bid Borrowing Request delivered pursuant to Section 2.4(b) above) the then unpaid principal amount of such Competitive Bid Advance.

  • A Business Day at least 1 Business Day after the delivery (including by facsimile) of this Bid Borrowing Request.

  • If the Borrower notifies the Administrative Agent that a Competitive Bid Borrowing Request is cancelled pursuant to paragraph (d)(i) above, the Administrative Agent shall give prompt notice (by telephone or otherwise, to be promptly confirmed by telecopy or other writing) thereof to the Lenders and such Competitive Bid Borrowing shall not be made.

  • The Company shall repay to the Operating Agent, at the Payment Office and otherwise in accordance with Section 2.14, for account of each Bank which shall have made a Competitive Bid Advance and on the date for the repayment thereof (as specified by the Company in the related Competitive Bid Borrowing Request delivered pursuant to paragraph (b) above) the principal amount of such Competitive Bid Advance.

  • With respect to each borrowing of a Revolving Credit Loan, the Administrative Agent shall have received a Conventional Borrowing Request or a Competitive Bid Borrowing Request, as the case may be, duly executed by an Authorized Signatory of the Borrower.

Related to Bid Borrowing Request

  • Borrowing Request means a request by the Borrower for a Borrowing in accordance with Section 2.03.

  • Bid Borrowing means a borrowing consisting of simultaneous Bid Loans of the same Type from each of the Lenders whose offer to make one or more Bid Loans as part of such borrowing has been accepted under the auction bidding procedures described in Section 2.03.

  • Swingline Borrowing Request means a request by a Borrower substantially in the form of Exhibit C-2.

  • Competitive Bid Borrowing means a borrowing consisting of simultaneous Competitive Bid Advances from each of the Lenders whose offer to make one or more Competitive Bid Advances as part of such borrowing has been accepted under the competitive bidding procedure described in Section 2.03.

  • Revolving Credit Borrowing Request means a request made pursuant to Section 2.4 in the form of Exhibit B-4.

  • Notice of Competitive Bid Borrowing has the meaning specified in Section 2.03(a).

  • Competitive Borrowing means a Borrowing consisting of a Competitive Loan or concurrent Competitive Loans from the Lender or Lenders whose Competitive Bids for such Borrowing have been accepted under the bidding procedure described in Section 2.03.

  • Notice of Borrowing has the meaning specified in Section 2.02(a).

  • Notice of Committed Borrowing has the meaning set forth in Section 2.02.

  • Committed Borrowing means a borrowing consisting of simultaneous Committed Loans of the same Type and, in the case of Eurodollar Rate Loans, having the same Interest Period made by each of the Lenders pursuant to Section 2.01.

  • Competitive Bid Request means a request by the Borrower for Competitive Bids in accordance with Section 2.04.

  • Notice of Swingline Borrowing shall have the meaning set forth in Section 2.4.

  • Initial Borrowing means the first Borrowing made pursuant to this Agreement.

  • Swingline Borrowing means a borrowing of a Swingline Loan pursuant to Section 2.04.

  • Revolving Borrowing means a borrowing consisting of simultaneous Revolving Loans of the same Type and, in the case of Eurodollar Rate Loans, having the same Interest Period made by each of the Lenders pursuant to Section 2.01.

  • Bid Request means a written request for one or more Bid Loans substantially in the form of Exhibit B-1.

  • Funding Request shall have the meaning set forth in Section 5.3(a).

  • Notice of Revolving Borrowing shall have the meaning as set forth in Section 2.3.

  • Loan Request means a Loan request and certificate duly executed by an Authorized Officer of the Borrower substantially in the form of Exhibit B hereto.
