Bondholder Class definition

Bondholder Class means all Persons who purchased or otherwise acquired HealthSouth bonds, notes or other debt instruments during the period between March 31, 1998 and March 18, 2003, inclusive, including all Persons who purchased or otherwise acquired debt securities of HealthSouth pursuant or traceable to the Integrated Public Offerings or in the secondary market. Excluded from the Bondholder Class are the Defendants, members of the immediate family of the Defendants, the directors, officers, subsidiaries and affiliates of HealthSouth, any person, firm, trust, corporation, officer, director or other individual or entity in which any Defendant has a controlling interest, and the legal representatives, affiliates, heirs, successors-in-interest, or assigns of any such excluded party. Also excluded from the Bondholder Class are those Persons who timely and validly request exclusion from the Bondholder Class pursuant to this Notice.
Bondholder Class or “Settlement Class” means all persons or entities (other than a Defendant and its employees, affiliates, parents, and subsidiaries) that owned (including beneficially in “street name”) U.S. Dollar LIBOR-Based Debt Securities during the Class Period.
Bondholder Class or “Settlement Class” shall mean the class described in para- graph 3.2 below.

Examples of Bondholder Class in a sentence

  • The distribution to Authorized Claimants shall be substantially in accordance with the Distribution Plan to be approved by the Court upon such further notice to the Bondholder Class as may be required.

  • Amend- ments and modifications may be made without notice to the Bondholder Class unless notice is required by law or by the Court.

  • The Court may adjourn or continue the Settlement Hearing without further notice to the Stockholder or Bondholder Class.

  • The Notice shall also explain the general terms of the Settlement, the general terms of the proposed Distribution Plan, the general terms of the Fee and Expense Application, and a description of Bondholder Class Members’ rights to object to the Settlement, request exclusion from the Bondholder Class, and appear at the Fairness Hear- ing.

More Definitions of Bondholder Class

Bondholder Class means the Class consisting of the Bondholders.
Bondholder Class or “Settlement Class” means all persons and entities (other than defendants in the Bondholder Action and their affiliated persons and entities) who owned (including beneficially or in “street name”) any USD LIBOR-Based Debt Security (defined below); provided, however, that any such securities that were issued by any Defendant, including its subsidiaries and affiliates, as obligor, are excluded from the definition of LIBOR-Based Debt Security.
Bondholder Class or “Settlement Class” means all persons and entities (other than Defendants in the Action and their affiliated persons and entities) who owned (including beneficially or in “street name”) any USD LIBOR-Based Debt Security; provided, however, that any such securities that were issued by any Defendant, including its subsidiaries and affiliates, as obligor, are excluded from the definition of USD LIBOR-Based Debt Security. Solely for purposes of the Settlement, the parties agree that Investment Vehicles are not excluded from the Settlement Class solely because they are, or are managed by, affiliates or subsidiaries of the Defendants. Solely for purposes of the Settlement, the parties agree that Investment Vehicles (defined at ¶ 1.31 of the Settlement Agreement) are not excluded from the Settlement Class solely because they are, or are managed by, affiliates or subsidiaries of the Defendants.
