Borrower Debt definition

Borrower Debt means all Indebtedness of Borrower, on a consolidated ------------- basis, and Borrower's Share of the Indebtedness of any Investment Affiliate (without offset or reduction in respect of prepaid interest, restructuring fees or similar items).
Borrower Debt means the Borrower’s indebtness outstanding from time to time under the Borrower Facility.

More Definitions of Borrower Debt

Borrower Debt means the Borrower's indebtness outstanding from time to time under the Borrower Facility. "Business Day" means:

Borrower Debt means, as of any date of determination, the aggregate stated balance sheet amount of all Indebtedness and other amounts that, in accordance with GAAP, would be classified as indebtedness on a stand-alone balance sheet of each Borrower (including all L/C Obligations but excluding (i) any unused Revolving Commitments and (ii) any Permitted Subordinated Indebtedness. For the avoidance of doubt, “Borrower Debt” shall not include any Permitted Project Debt (including any guarantees or indemnities with respect to such Permitted Project Debt) for which there is no recourse to either Borrower.
Borrower Debt means, with respect to the Borrower, at any date, without duplication, (a) all obligations of the Borrower for borrowed money or in respect of loans or advances (including any such obligation issued by the Borrower that qualifies as any note, bond or other Debt instrument or any swap or other similar agreement which has a catastrophe, weather or other risk feature linked to payments thereunder (“Borrower Catastrophe Bonds”) net of any escrow established (whether directly or to secure any letter of credit issued to back such Borrower Catastrophe Bond) in connection with such Borrower Catastrophe Bonds); (b) all obligations of the Borrower evidenced by bonds, debentures, notes or other similar instruments; (c) all obligations in respect of letters of credit which have been drawn but not reimbursed by the Person for whose account such letter of credit was issued, and bankers’ acceptances issued for the account of the Borrower; (d) all obligations in respect of capitalized leases of the Borrower; and(e) the termination value in respect of hedging agreements of the Borrower.
Borrower Debt the sum of the principal balance owed by Borrower under the Construction Facility and this Term Credit Agreement.
