BRS Investors definition

BRS Investors means those Stockholders identified as such on the signature page to this Agreement together with their respective Permitted Transferees.

BRS Investors means Bruckmann, Xxxxxx, Xxxxxxxx & Co. III, L.P., a Delaware limited partnership, and BRS Coinvestor III, L.P., a Delaware limited partnership.

• The provisions of this Section 2.13 shall cease to be applicable in the event that BRS Investors shall have acquired 10% or more of the capital stock of any class or series of any Competitor.

• No modification or amendment of any provision of this Agreement shall be effective against the Company, the BRS Investors or the CSFB-TCW Investors unless such modification or amendment is approved in writing by (i) the Company, (ii) BRS Majority Holders and (iii) the holders of Registrable Securities holding a majority of the Registrable Securities then outstanding; and any amendment to which such written consent is obtained will be binding upon the Company, the BRS Investors and the CSFB-TCW Investors.

• BRS, the BRS Investors and the Farallon Investors have acquired shares of the Company's Class A Common Stock, par value $.001 per share (the "CLASS A COMMON"), and shares of the Company's Series A Preferred Stock, par value $1.00 per share (the "SERIES A PREFERRED"), pursuant to Stock Purchase Agreements, dated as of the date hereof, with the Company (in each case, as the same may be amended, restated or modified from time to time, the "INVESTOR AGREEMENTS").

BRS Investors means each of the "BRS Investors" (as such term is defined in the Stockholders Agreement).
