Xxxxxxxxx Family definition

Xxxxxxxxx Family means (a) Xxxxxxxxx Xxxxxxxxx Xxxxxxx and Xxxxxxx X. Xxxxxxxxx (as identified in that certain Schedule 13D/A filed with the United States Securities and Exchange Commission on July 14, 2010 with respect to the Borrower by the Xxxxxxxxx Group LLC (the “Singletons”)), (b) all descendants of the Singletons and the spouse of any such descendant (the “Xxxxxxxxx Descendants”), (c) the holders of record from time to time of membership interests in Xxxxxxxxx Group, LLC and the spouse of any such holder (the “Xxxxxxxxx Group Members”), (d) all descendants of the Xxxxxxxxx Group Members and the spouse of any such descendant (the “Xxxxxxxxx Group Descendants” and, together with the Singletons, the Xxxxxxxxx Descendants and the Xxxxxxxxx Group Members, the “Xxxxxxxxx Persons”), (e) all trusts of which a Xxxxxxxxx Person is a beneficiary or trustee and the trustees of any such trust, (f) the estate of any Xxxxxxxxx Person, (g) all partnerships, limited liability companies and other entities in which any one or more of the class consisting of the Persons listed in the preceding clauses (a) through (f) shall have in excess of fifty percent (50%) of the total voting power and the managers of any such entities (in their capacity as such), and (h) the Affiliates and Associates of the Persons identified in the foregoing clauses (a) through (g). For purposes of this definition, a Person shall be treated as holding voting power or an equity interest to the extent such power or interest is held directly or indirectly through a corporation, partnership, estate, trust or other entity. For purposes of this definition “Affiliate” and “Associate” shall have the respective meanings ascribed to such terms in Rule 12b-2 of the General Rules and Regulations under the Securities Exchange Act of 1934.
