Bucyrus Stock definition

Bucyrus Stock means the shares of common stock of Bucyrus acquired by Terex pursuant to the Bucyrus Purchase Agreement as consideration, in part, for the Bucyrus Transactions.

  • Bucyrus is eligible to register the Bucyrus Stock for resale by Terex under Form S-3 promulgated under the Securities Act.

  • For purposes hereof “Trading Market” means whichever of the New York Stock Exchange, the American Stock Exchange, the NASDAQ Global Select Market, the NASDAQ Global Market, the NASDAQ Capital Market or OTC Bulletin Board on which the Bucyrus Stock is listed or quoted for trading on the date in question.

  • All outstanding shares of Bucyrus Stock issued and outstanding as of December 31, 2009 were duly authorized and validly issued and are fully paid and nonassessable.

  • The issue and sale of the Consideration Shares will not obligate Bucyrus to issue shares of Bucyrus Stock or other securities to any Person (other than Terex) and will not result in a right of any holder of Bucyrus securities to adjust the exercise, conversion, exchange or reset price under any option, right or warrant to acquire (or any similar instrument), or any securities convertible into or exchangeable for, Bucyrus Stock.

  • Bucyrus is in compliance in all respects with the requirements for continued listing of the Bucyrus Stock on the Trading Market on which the Bucyrus Stock is currently listed.

  • The issuance and sale of the Consideration Shares under this Agreement does not contravene the rules and regulations of the Trading Market on which the Bucyrus Stock is currently listed, and no approval of the stockholders of Bucyrus thereunder is required for Bucyrus to issue and deliver to Terex the Consideration Shares contemplated by this Agreement.

  • The amount of Bucyrus Stock to be delivered in respect of the Equity Amount shall equal the Stock Consideration (as defined below).

  • Common Shares means the common shares in the capital of the Corporation;

  • A Ordinary Shares means the ‘A’ ordinary shares of £1.00 each in the capital of the Company;

  • Common Stock means the common stock of the Company, par value $0.001 per share, and any other class of securities into which such securities may hereafter be reclassified or changed.

  • Company Stock means, collectively, the Company Common Stock and the Company Preferred Stock.

  • Equity Stock means all classes or series of capital stock of the Company authorized under the Charter, including, without limit, its common stock, $.001 par value per share, and preferred stock, $.001 par value per share.

  • Holdings Common Stock means the common stock of Holdings, par value $.01 per share.

  • Ordinary Shares means the ordinary shares, par value $0.0001 per share, of the Company.

  • Bonus Stock means shares of Common Stock which are not subject to a Restriction Period or Performance Measures.

  • A Shares means shares issued by companies incorporated in the PRC and listed on the SSE or the SZSE, traded in RMB and available for investment by domestic investors through Stock Connect.

  • Parent Stock means the common stock, par value $0.01 per share, of Parent.

  • Parent Ordinary Shares means the ordinary shares, no par value per share, of Parent.

  • Amalco Shares means the common shares in the capital of Amalco;

  • Additional Ordinary Shares means Ordinary Shares issued by the Guarantor following the issuance of the Subscribed Ordinary Shares;

  • Fully Diluted Company Shares means the total number of issued and outstanding shares of Company Common Stock, (a) after giving effect to the Company Preferred Stock or otherwise treating shares of Company Preferred Stock on an as-converted to Company Common Stock basis, and (b) treating all outstanding in-the-money Specified Company Warrants as fully vested and as if the Specified Company Warrants had been exercised for cash as of the Effective Time, but for the avoidance of doubt excluding any Company Securities described in Section 1.11(b).

  • Newco Common Stock means the common stock, par value $.01 per share, of Newco.

  • Dividend Shares means any shares of Common Stock issuable in lieu of cash dividends paid or to be paid on the Series A Preferred.

  • Qualifying Shares means shares of Common Stock which either (i) have been owned by the Grantee for more than six (6) months and have been “paid for” within the meaning of Rule 144 promulgated under the Securities Act, or (ii) were obtained by the Grantee in the public market.

  • Qualifying Preferred Stock means non-cumulative perpetual preferred stock of the Corporation that (a) ranks pari passu with or junior to all other preferred stock of the Corporation, and (b) either (x) is subject to a Qualifying Replacement Capital Covenant or (y) is subject to Intent-Based Replacement Disclosure and has a provision that prohibits the Corporation from paying any dividends thereon upon its failure to satisfy one or more financial tests set forth therein, and (c) as to which the transaction documents provide for no remedies as a consequence of non-payment of dividends other than Permitted Remedies.

  • SpinCo Shares means the shares of common stock, par value $0.01 per share, of SpinCo.

  • Company Common Shares means the common shares in the capital of the Company;

  • Parent Shares means the shares of common stock, par value $1.00 per share, of Parent.
