Examples of Business Employee Census in a sentence
Following the date of this Agreement, within ten (10) business days following a written request by Xxxxx, Seller shall deliver to Buyer an updated Business Employee Census for the Business Employees as of the date of Buyer’s written request.
Buyer may make up to three (3) requests for updated Business Employee Census, so long as such updates are requested no later than fifteen (15) business days before the Closing Date.
Between the date hereof and the Closing, Seller shall provide regular updates to the Business Employee Census to Buyer that reflect changes in the Business Employees that shall also include, with respect to each such Business Employee, (x) such Business Employee’s paid time off (including any accruals), vacation, sick or similar entitlements and (y) each such Business Employee’s exempt or non-exempt status.
No later than ten (10) Business Days prior to Closing, Seller will provide a final Business Employee Census reflecting all departures, in accordance with this Section 6.13(a), or other changes to the Business’ workforce (subject to the limitations set forth in Section 6.1 of this Agreement) (the “Final Service Provider Census”).
The Sellers shall update the Business Employee Census from time to time from the date of this Agreement until January 1, 2023 as requested by Xxxxx in writing.
Seller shall provide Buyer with an update to the Business Employee Census no later than twenty (20) days prior to the Closing and shall update the Business Employee Census thereafter from time to time prior to the Closing as reasonably requested by Buyer in writing.
