Business Independent Contractor definition

Business Independent Contractor means the independent contractor who is actively and primarily engaged to provide services to the Business and who is listed in Section 1.1(a)(iii) of the Seller Disclosure Schedules.
Business Independent Contractor means any independent contractor currently engaged by Inpixon or its Affiliates (other than the Company and the Company Subsidiaries) in connection with or related to, the Enterprise Apps Business.
Business Independent Contractor means each independent contractor or consultant who is (a) a natural person, (b) engaged by Parent or one of its Subsidiaries (including the Transferred Entities) and (c) provides services to the Business.

  • As of the Closing Date and to the extent legally permissible, Seller or its applicable Affiliate shall assign to Purchaser or one of its Affiliates the engagement of the Business Independent Contractor, and Purchaser or one of its Affiliates shall accept such assignment.

  • Section 3.16(a)(ii) of the Seller Disclosure Schedules sets forth a complete and accurate summary of the general terms of service for the Business Independent Contractor.

  • As of the Closing, Parent shall, or shall cause its Affiliates to, ensure that each Business Independent Contractor who enters into a new agreement with Purchaser or its Affiliates (including the Transferred Entities) is released form any engagement with Parent or its Affiliates, including any post-termination restrictive covenants that would prohibit or restrict such Business Independent Contractor form providing services to Purchaser or its Affiliates (including the Transferred Entities).

  • No Business Employee or other employee, officer or director of Seller or its Subsidiaries (or any other Person beneficially owning more than 5% of the outstanding capital stock in Seller) or any other Portamedic Staff is party to any Business Contract, owns, controls or has any rights to any of the Transferred Assets or otherwise provides services or supplies to the Portamedic Business (other than in his or her capacity as a Business Employee or Business Independent Contractor).


More Definitions of Business Independent Contractor

Business Independent Contractor means each individual who is an independent contractor, consultant, any other non-employee worker or third-party agency worker who spends at least 50% of his or her work time for Seller or any of its Affiliates providing services with respect to the Business immediately prior to the Closing (as determined in Seller’s good faith).
Business Independent Contractor shall have the meaning set forth in Section 4.21(a).
Business Independent Contractor means any independent contractor of Seller or its Affiliates engaged in the Portamedic Business.

  • Independent Contractor Either (i) any Person (other than the Master Servicer) that would be an "independent contractor" with respect to REMIC I within the meaning of Section 856(d)(3) of the Code if REMIC I were a real estate investment trust (except that the ownership tests set forth in that section shall be considered to be met by any Person that owns, directly or indirectly, 35% or more of any Class of Certificates), so long as REMIC I does not receive or derive any income from such Person and provided that the relationship between such Person and REMIC I is at arm's length, all within the meaning of Treasury Regulation Section 1.856-4(b)(5), or (ii) any other Person (including the Master Servicer) if the Trustee has received an Opinion of Counsel to the effect that the taking of any action in respect of any REO Property by such Person, subject to any conditions therein specified, that is otherwise herein contemplated to be taken by an Independent Contractor will not cause such REO Property to cease to qualify as "foreclosure property" within the meaning of Section 860G(a)(8) of the Code (determined without regard to the exception applicable for purposes of Section 860D(a) of the Code), or cause any income realized in respect of such REO Property to fail to qualify as Rents from Real Property.

  • Sub-Contractor means the person named in the Contract for any part of the works or any person to whom any part of the contract has been sublet by the contractor with the consent in writing of the Engineer-in-charge and will include the legal representatives, successors and permitted assigns of such persons.

  • Replacement Contractor means any third party service provider appointed by the Authority to supply any services which are substantially similar to any of the Services and which the Authority receives in substitution for any of the Services following the expiry, termination or partial termination of the Contract.

  • Affiliated Entity means any entity controlling, controlled by, or under common control with an Insured.

  • Joint Control means a situation where a company has multiple promoters (but none of the shareholders has more than 50% of voting rights and paid up share capital).
