Business IT Assets definition

Business IT Assets means computer Software, systems, servers, computers, hardware, firmware, middleware, networks, data communications lines, routers, hubs, switches and all other information technology equipment, and all associated documentation, in each case, used or held for use in connection with, the Business.
Business IT Assets has the meaning set forth in Section 5.19(e).
Business IT Assets means all IT Assets related to, or used or held for use in, the Business, including pursuant to outsourced or cloud computing arrangements.

Examples of Business IT Assets in a sentence

  • To the Knowledge of the Seller, neither Seller nor any of its Affiliates has suffered any material security breach of any of the Transferred IT Assets resulting in any third-party access to, or acquisition of, any information, including but not limited to Personal Information, stored or processed on or by such Business IT Assets.

  • Where the Service User is currently on the Hostel’s Banned List and/or a risk is assessed as being too great for the Hostel to accommodate at that time.

  • To the knowledge of the Sellers, no person has gained unauthorized access to any Business IT Assets in a manner that has had, or would reasonably be expected to have, individually or in the aggregate, a Material Adverse Effect.

  • Each Selling Entity has taken technical, physical and organizational steps commercially reasonable in accordance with customary industry standards and practices to protect the confidentiality, integrity and security of Business IT Assets (and all information and transactions stored or contained therein or transmitted thereby) from Malicious Code, unauthorized use, access, interruption, modification or corruption.

  • The Business IT Assets have not malfunctioned or failed in the past three (3) years, except for malfunctions or failures that would not reasonably be expected, individually or in the aggregate, to have a Material Adverse Effect.


More Definitions of Business IT Assets

Business IT Assets has the meaning set forth in Section 7.05(b)(iv).
Business IT Assets means the IT Assets owned by Seller or any of its Subsidiaries, or in which Seller or any of its Subsidiaries has a license, that are used or held for use primarily in and by the Business.
Business IT Assets means the IT Assets owned or licensed from third parties by any Acquired Company.
Business IT Assets means (x) the IT Assets owned or licensed from third parties by Seller Parent or any of its respective Subsidiaries that are exclusively used or exclusively held for use in connection with the Business and (y) with respect to the Acquired Entities, all of the IT Assets of such Acquired Entities other than the Assets set forth on Section 1.1(EU) of the Seller Disclosure Schedule.
Business IT Assets means all IT Assets used by the Sold Companies or Sold Subsidiaries in the operation of the Business, excluding any IT Assets for which access or use will be provided under the Transition Services Agreement.
Business IT Assets means all IT Assets that (i) are owned by or under obligation of assignment to any Seller, or (ii) a Seller is licensed or otherwise permitted by other Persons to use pursuant to the Business IP Agreements, in each case of (i) and (ii), that relate to, are used, useful or held for use in, or have been acquired in connection with the operation of the Business.
Business IT Assets means all (i) Transferred IT Assets, (ii) IT Assets owned by the Purchased Controlled Companies (“Controlled Business IT Assets”) and (iii) IT Assets owned by the Purchased Non-Consolidated Ventures (“Other Business IT Assets”).
