Buyer Parent hereby agrees that its obligations hereunder shall be unconditional, irrespective of the validity or enforceability of this Agreement against Buyer, any change therein or amendment thereto, the absence of any action to enforce or any waiver of any default in respect of the same, the recovery of any judgment against Buyer or any action to enforce the same, or any other circumstances which may otherwise constitute a legal or equitable discharge or defense of a guarantor; provided, however, that (i) Buyer Parent’s obligations under the Buyer Parent Guaranty shall be subject to defenses available to Buyer, other than the bankruptcy or insolvency of any of Buyer or the validity or enforceability of the obligations of Seller, and (ii) nothing contained herein shall be construed to be a waiver by Buyer Parent of notice to Buyer Parent required pursuant to this Section 11.16(a) or Section 11.1 hereof with respect to this Agreement and the obligations evidenced hereby. Buyer Parent covenants that the Buyer Parent Guaranty will not be discharged except by complete performance of the Buyer Guaranteed Obligations and Buyer Parent’s obligations under this Section 11.16(a).

Each Credit Support Party (other than the Borrower) acknowledges and agrees that (i) notwithstanding the conditions to effectiveness set forth in this Amendment, such Credit Support Party is not required by the terms of the Credit Agreement or any other Loan Document to consent to the amendments to the Credit Agreement effected pursuant to this Amendment and (ii) nothing in the Credit Agreement, this Amendment or any other Loan Document shall be deemed to require the consent of such Credit Support Party to any future amendments to the Credit Agreement.
