Buyer List definition

Buyer List means a list maintained by the Transfer Agent that includes separate entries for each validly submitted Purchase Order that has not expired or terminated and which indicates (a) the name and class of the Optionee submitting the same and (b) the date and time such Purchase Order was entered on the Buyer List.

Examples of Buyer List in a sentence

  • A Purchase Order will become effective upon entry by the Transfer Agent of such Purchase Order on the Buyer List, which Buyer List shall be maintained by the Transfer Agent.

  • The Transfer Agent shall enter all Purchase Orders on the Buyer List as soon as practicable after receipt thereof, but in no event later than twenty-four hours after such receipt.

  • Buyer Disclosure Schedule means the disclosure schedule dated as of the date hereof delivered by Buyer to Seller in connection with the execution and delivery of this Agreement.

  • Buyer Disclosure Schedules means the disclosure schedules of the Buyer, dated as of the date hereof, accompanying this Agreement.

  • Seller Disclosure Schedules means those certain Seller Disclosure Schedules dated as of the date of this Agreement, provided by Seller to Purchaser.

  • Seller Closing Certificate has the meaning set forth in Section 7.02(d).

  • Seller Parties has the meaning set forth in the preamble to this Agreement.

  • Seller's Closing Certificate means the certificate of Seller in the form of Exhibit C attached hereto.
