Buyer Data definition

Buyer Data means all data, records, files, information or content, including text, sound, video, images and software, that is (a) input or uploaded by Buyer or its Users to or collected, received, transmitted, processed, or stored by Buyer or its Users using the Software or SaaS Service in connection with this Agreement, or (b) derived from (a). Buyer Data is Confidential Information of Buyer.

Buyer Data means any data or information and associated records, in any form or medium, (i) of Buyer, its affiliates or their respective suppliers, customers, or other business partners that is provided to or obtained by Supplier in connection with this Purchase Order, (ii) that is created, generated, collected, processed, maintained, stored, archived, or received in connection with this Purchase Order, or (iii) that is derived or compiled from the foregoing.

More Definitions of Buyer Data

Buyer Data means all data provided to or hosted by Supplier or which Supplier otherwise has access to while performing the Services, and which may include, without limitation, individual records or compilations thereof that include any or all of the following: (a) any commercially sensitive information about Buyer, including, without limitation, information regarding mergers, acquisitions, consumer marketing preference data, lead generation source or other related sales data, or Buyer employee compensation information; (b) Buyer PII; and (c) information regarding Buyer’s information security program or infrastructure, including, without limitation, Buyer Systems.
Buyer Data means data relating to the operation of the Business of Buyer in the possession or control of Supplier.
Buyer Data means all data, content, materials, Confidential Information, and other information provided by Buyer to Seller or otherwise transmitted to Seller for use in connection with the Items and Services. Seller shall establish and maintain environmental, safety, and facility procedures, data security procedures, and other safeguards to protect against the destruction, corruption, loss, or alteration of Buyer Data and to prevent access, intrusion, alteration, or other interference by any unauthorized third parties of the same, that are: (i) no less rigorous than those maintained by Seller for its own information or the information of its customers of a similar nature and scope; (ii) no less rigorous than the accepted practices in the industry; and (iii) no less rigorous than those required by applicable data security and privacy statutes and regulations. Buyer Data shall be maintained by Seller as Confidential Information. Seller acknowledges and certifies that (1) Seller will not “sell” (as defined at Cal. Civ. Code § 1798.140(ad), as it may be amended) Buyer Data, and (2) Seller will not use, disclose, or retain Buyer Data for purposes other than performing the Items and Services for Buyer or to comply with applicable law, and Seller will ensure that its subcontractors are restricted from any use or retention of Buyer Data other than for purposes of performing the Items and Services for Buyer or to comply with applicable law. Seller may not de-identify, aggregate, redact, create derivative data, or otherwise process Buyer Data for Seller’s purposes other than as required to perform the Items and Services for Buyer. In the course of furnishing the Services, Seller shall not access, and shall not permit its personnel or entities within its control to access, Buyer’s electronic communication systems, networks, or computers without Buyer’s written authorization.
Buyer Data means any data or information and associated records, in any form or medium,
Buyer Data means, other than aggregated statistics, information, data, and other content, in any form or medium, that is submitted, posted, or otherwise transmitted or made available to Seller by or on behalf of Buyer, or a user of Buyer’s product incorporating the Seller’s goods, which is generated by the goods or use of the goods; provided that Buyer Data excludes any Personal Data. Nothing in clause 17 shall be deemed to limit any rights granted from Buyer to Seller in any other agreement. If Buyer or any of its employees or contractors suggests or recommends changes to any of the Seller’s goods, including without limitation, new features or functionality relating thereto, or shares any comments, questions, suggestions, or the like (“Feedback”), Seller is free to use such Feedback irrespective of any other obligation or limitation between the Parties governing such Feedback. Buyer hereby assigns to Seller on Buyer’s behalf, and on behalf of its employees, contractors and/or agents, all rights, title, and interests in and to, the Feedback and Seller is free to use, without any attribution or compensation to any party, any ideas, know-how, concepts, techniques, or other intellectual property rights contained in the Feedback, for any purpose whatsoever, although Seller is not required to use any Feedback.
Buyer Data means all data provided to Supplier, and may include, without limitation, the following: compilations of individual records submitted by Buyer to Supplier (e.g. names, addresses, phone numbers, email addresses, transaction histories, transactional information, product-level data, transaction channels, consumer marketing preference data, and lead generation sources), Buyer Proprietary Information, Buyer Intellectual Property, designs/drawings, technical specifications, and other appropriate data. Without limiting the foregoing, Buyer Data shall be deemed to include all information that: (i) identifies or can be used to identify an individual (including, without limitation, names, signatures, addresses, telephone numbers, e-mail addresses, vehicle identification number and other unique identifiers); or (ii) can be used to authenticate an individual (including, without limitation, employee identification numbers, government- issued identification numbers (including social security number, driver’s license number or state-issued identified number), passwords or PINs, financial account number, credit card number, debit card number, credit report information, with or without any required security code, access code, personal identification number or password, that would permit access to an individual’s financial account, credit report information, biometric or health data, answers to security questions and other personal identifiers). Buyer’s business contact information is not by itself deemed to be Confidential Information.
Buyer Data consists of the data related to the Products which Tesla makes available to Buyer via the Tesla app or any other performance monitoring provided by Tesla. Buyer Data shall be owned by Buyer. Tesla may use Buyer Data (i) to perform its obligations under this Agreement including any warranties, (ii) to improve Tesla's products and services generally (including by performing analyses on such information), and (iii) to aggregate with other data. Public disclosure of such information by Tesla is permitted if neither Buyer nor the owner or long-term occupant of the site where the Products are located (the “Site Host”) could reasonably be identified from the publicly disclosed information.
