Buyer Termination Notice shall have the meaning set forth in Section 11.1(c)(i). “Cash and Cash Equivalents” means all cash and cash equivalents, including checks, commercial paper, treasury bills, certificates of deposit and other bank deposits, securities, securities entitlements, instruments, and other investments of Seller, and all bank accounts and securities accounts, including any cash collateral that is collateralizing any letters of credit.

  • The Buyer Contingencies above shall be deemed to have been satisfied or waived, unless on or before the expiration of the Buyer Contingency Period (including any extensions as mutually agreed upon by the parties), Buyer delivers to Seller notice of Buyer's failure to satisfy the Buyer Contingencies and, consequently, termination of this Agreement (the "Buyer Termination Notice").
