  • No additional term or condition contained in Customer’s purchase order or similar document will apply and are expressly rejected by CA Europe and/or Local CA (as applicable).

  • If the Agreement is terminated by CA Europe or Local CA (as applicable) in accordance with Section 8.1, the due dates of all invoices to be issued will be accelerated so that such invoices become due and payable on the effective date of termination.

  • The parties understand and agree that CA Europe or Local CA (as applicable) may be prevented by law, regulation or a third-party arrangement from providing such notice(s) and/or reports within the above time frames.

  • CA Europe may make changes or updates to the SaaS or SaaS infrastructure (such as compute infrastructure, storage technology, security, technical configurations, hosting facilities within the data center region, etc.).

  • Except to the extent prohibited by law, Customer shall indemnify, defend, and/or at its option, settle any third-party claims against CA Europe and/or Local CA (as applicable) that Customer Data or Customer’s use of the SaaS is in breach of this Agreement, infringes or misappropriates any third party Intellectual Property rights within the jurisdictions in which Customer is using the SaaS, or violates applicable law, rules, directives or regulation.

  • Subject to the terms and conditions offered to Customer for trial use and the terms of this Agreement, CA Europe grants to Customer the right to access and use the SaaS on a trial basis, for the period stated in the applicable order form, or if no time stated, for thirty (30) days from the date access is granted.

  • Europe means the European Union, the European Economic Area and/or their member states, Switzerland and the United Kingdom.

  • Cayman Companies Act means the Companies Act (as revised) of the Cayman Islands.

  • Asia means Afghanistan, Australia, Bangladesh, Bhutan, Brunei, Cambodia, Mainland China, Hong Kong, India, Indonesia, Japan, Kazakhstan, Kyrgyzstan, Laos, Macau, Malaysia, Maldives, Mongolia, Myanmar, Nepal, New Zealand, North Korea, Pakistan, the Philippines, Singapore, South Korea, Sri Lanka, Taiwan, Tajikistan, Thailand, Timor-Leste, Turkmenistan, Uzbekistan, and Vietnam.

  • Canada means the ten provinces of Canada, the Yukon Territory, the Districts and Islands comprising the Northwest Territories of Canada and Nunavut.

  • UK means the United Kingdom of Great Britain and Northern Ireland.

  • India means the territory of India and includes the territorial sea and airspace above it, as well as any other maritime zone in which India has sovereign rights, other rights and jurisdiction, according to the Indian law and in accordance with international law, including the U.N. Convention on the Law of the Sea;

  • Philippines means the Republic of the Philippines and when used in a geographical sense means the national territory comprising the Republic of the Philippines;

  • Spain means the Kingdom of Spain.

  • Sweden means the Kingdom of Sweden and, when used in a geographical sense, includes the national territory, the territorial sea of Sweden as well as other maritime areas over which Sweden in accordance with international law exercises sovereign rights or jurisdiction;

  • Australian Subsidiary means any Subsidiary that is organized under the laws of Australia or any territory thereof.

  • Portugal when used in a geographical sense comprises the territory of the Portuguese Republic in accordance with the International Law and the Portuguese legislation;

  • France means the European and overseas departments of the French Republic including the territorial sea, and any area outside the territorial sea within which, in accordance with international law, the French Republic has sovereign rights for the purpose of exploring and exploiting the natural resources of the seabed and its subsoil and the superjacent waters;

  • Crown means the government of the United Kingdom (including the Northern Ireland Assembly and Executive Committee, the Scottish Executive and the National Assembly for Wales), including, but not limited to, government ministers and government departments and particular bodies, persons, commissions or agencies from time to time carrying out functions on its behalf;

  • Argentina means the Republic of Argentina.

  • DBSA means the Development Bank of Southern Africa Limited.

  • Australian Corporations Act means the Corporations Act 2001 of Australia;

  • UK Subsidiary means a Subsidiary organized under the laws of England and Wales.

  • Ireland means the Republic of Ireland.

  • Malta means the Island of Malta, the Island of Gozo and the other islands of the Maltese Archipelago, including the territorial waters thereof;

  • Norway means the Kingdom of Norway, and includes the land territory and internal waters, the territorial sea and the area beyond the territorial sea where the Kingdom of Norway, according to Norwegian legislation and in accordance with international law, may exercise her rights with respect to the seabed and subsoil and their natural resources; the term does not comprise Svalbard, Jan Mayen and the Norwegian dependencies (“xxxxxx”);

  • North America means the United States, Canada and Mexico.

  • Bermuda means the Islands of Bermuda;

  • Canadian Subsidiaries means the Subsidiaries organized under the laws of Canada or any province, territory or other political subdivision thereof.

  • Belgium means the Kingdom of Belgium; used in a geographical sense, it means the territory of the Kingdom of Belgium, including the territorial sea and any other area in the sea and in the air within which the Kingdom of Belgium, in accordance with international law, exercises sovereign rights or its jurisdiction;

  • PTE means a prohibited transaction class exemption issued by the U.S. Department of Labor, as any such exemption may be amended from time to time.

  • PLC means Programmable Logic Controller;
