Call Event Notice definition

Call Event Notice means the “Swisscom Notice” as such term is defined in the Original Collateral Conditions of the Original Collateral.
Call Event Notice shall have the meaning given to such term in Section 4.3(a) hereof.

Examples of Call Event Notice in a sentence

  • If the Issuer elects to redeem the Notes, or to procure purchase for the Notes, such redemption or purchase will take place not less than thirty (30), nor more than forty-five (45) days after a Call Event Notice is given.

  • If the Issuer elects to redeem the Bonds, or to procure purchase for the Bonds, such redemption or purchase will take place not less than thirty (30), nor more than forty-five (45) calendar days after a Call Event Notice is given.

  • Promptly upon the Issuer becoming aware that a Change of Control Call Event has occurred the Issuer shall give notice (a " Call Event Notice") to the Bondholders in accordance with Condition 10 specifying the nature of the Change of Control Call Event, the circumstances giving rise to it and either the date on which redemption or purchase of the Bonds (the "Call Date") will take place or the Issuer's election not to redeem, or procure purchase for, the Bonds.

  • Upon the occurrence of a Guarantee Call Event, the Repack Trustee shall promptly deliver to the Repack Note Guarantor a Guarantee Call Event Notice specifying the details of the relevant Guarantee Call Event and the aggregate Principal Amount Outstanding of the Repack Notes as of the date of the Guarantee Call Event Notice.

  • Further to the occurrence of a Change of Control Call Event as defined in Condition 5.8 below, (i) if the Call Event Notice (as defined below) specifies that the Issuer has elected not to exercise the Change of Control Call Option, the interest rate payable on the Bonds will be increased by an additional margin of 5 per cent.

  • Mandatory Purchase Notice means, in connection with the Mandatory Purchase of VRDP Shares, a notice substantially in the form attached to the VRDP Shares Purchase Agreement as Exhibit B, delivered by the Fund or the Tender and Paying Agent on behalf of the Fund to the Holders and the Liquidity Provider in accordance with the VRDP Shares Purchase Agreement specifying a Mandatory Purchase Date.

  • Notice Event means any of the events enumerated in paragraph (b)(5)(i)(C) of the Rule and listed in Section 4(a) of this Disclosure Agreement.

  • Repurchase Notice has the meaning set forth in Section 8.6(a).

  • VWAP Purchase Notice means an irrevocable written notice from the Company to the Buyer directing the Buyer to buy Purchase Shares on the VWAP Purchase Date pursuant to Section 1(c) hereof as specified by the Company therein at the applicable VWAP Purchase Price with the applicable VWAP Purchase Share Percentage specified therein.

  • Determination Notice is defined in Section 6.1(b)(i) of the Agreement.

  • Repurchase Response Notice means a notice delivered by the Indenture Trustee at the direction of the Administrator to a Noteholder or Note Owner indicating that a Repurchase Request is unresolved.

  • Call Option Notice means a written notice from the holder of the Call Option or the Administrator, as applicable, stating its desire to exercise the Call Option on the related Reset Date, delivered to each Clearing Agency, the Indenture Trustee, the Remarketing Agents, the Rating Agencies and, if the related class of Reset Rate Notes is then listed on the Luxembourg Stock Exchange, the Administrator will forward a copy to the Luxembourg Listing Agent (the contents of which are to be published in a leading newspaper having general circulation in Luxembourg).

  • Election Notice has the meaning set forth in Section 11.01(b).

  • Index Call Event means each of the following events:

  • Termination Notice means the communication issued in accordance with this Agreement by one Party to the other Party terminating this Agreement;

  • Payment Notice has the meaning assigned to it in Section 8.06(c).

  • Put Option Notice means a notice which must be delivered to a Paying Agent by any Noteholder wanting to exercise a right to redeem a Note at the option of the Noteholder;

  • Notice-triggering PI means the PI identified in CCC § 1798.29(e) whose 25 unauthorized access may trigger notification requirements under CCC § 1709.29. For purposes of this 26 provision, identity shall include, but not be limited to, name, identifying number, symbol, or other 27 identifying particular assigned to the individual, such as a finger or voice print, a photograph or a 28 biometric identifier. Notice-triggering PI includes PI in electronic, paper or any other medium.

  • Change of Control Notice means notice of a Change of Control Offer made pursuant to Section 3.8, which shall be mailed first-class, postage prepaid, to each record Holder as shown on the Note Register within 30 days following the date upon which a Change of Control occurred, with a copy to the Trustee, which notice shall govern the terms of the Change of Control Offer and shall state:

  • Fundamental Change Purchase Notice has the meaning specified in Section 3.01(a)(i).

  • Redemption Notice means a notice in a form approved by the Company by which a holder of Public Shares is entitled to require the Company to redeem its Public Shares, subject to any conditions contained therein.

  • Share Call Event means each of the following events:

  • Fundamental Change Repurchase Notice shall have the meaning specified in Section 15.02(b)(i).

  • Early Termination Notice is defined in Section 4.2 of this Agreement.

  • Redemption Notice Date means, with respect to a Redemption, the date on which the Company sends the Redemption Notice for such Redemption pursuant to Section 4.03(F).

  • Retraction Notice has the meaning set forth in Section 11.01(c).

  • Nomination Notice means all information and documents that a Nominating Stockholder is required to submit to the Secretary of the Corporation pursuant to Section 1.13(f).

  • Suspension Notice As defined in Section 6(d) hereof.

  • Form of Fundamental Change Repurchase Notice means the “Form of Fundamental Change Repurchase Notice” attached as Attachment 2 to the Form of Note attached hereto as Exhibit A.
