Canadian Participant definition

Canadian Participant means any Participant who is not a U.S. Participant and who is a Canadian resident for tax purposes.

Canadian Participant means a Participant who is a resident of Canada and/or who is granted an Award in respect of, or by virtue of, employment services rendered in Canada, provided that, for greater certainty, a Participant may be both a Canadian Participant and a U.S. Taxpayer;

Canadian Participant means a Participant who is a citizen of Canada or a resident of Canada and any other Participant who is subject to tax under the Income Tax Act (Canada) as amended, with respect to compensatory awards granted pursuant to the Plan;

Examples of Canadian Participant in a sentence

• A certificate of the Canadian Administrative Agent submitted to any Canadian Participant with respect to any amounts owing under this Section 2.01(b)(ii)(A) shall be conclusive in the absence of manifest error.

• The Temporary Supplement will be paid to an eligible Participant through and including the earlier of (a) the month in which the Participant dies or (b) the month in which the U.S. Participant attains age sixty-two (62) or the Canadian Participant attains age sixty (60).

• For purposes of determining the monthly Canada/Quebec Pension Plan Offset, the amount of the benefit shall be determined based upon the pay and employment data that may be furnished by the Company and/or the Participant while a Canadian Participant.

• In the event the Canadian Administrative Agent receives a payment with respect to any Canadian Loan in which Canadian Participations have been purchased and as to which the purchase price has been requested by the Canadian Administrative Agent and delivered by a Canadian Participant as in this Section 2.01(b)(ii)(A) provided, the Canadian Administrative Agent shall promptly distribute to such Canadian Participant its share of such payment based on its Canadian Participation.

• However, a Canadian Participant may elect to receive such payment in cash, provided such election shall be made in writing in the manner prescribed by the Administrator.

More Definitions of Canadian Participant

Canadian Participant has the meaning set forth in Section 2.01(b)(ii).

Canadian Participant means a Participant who is employed in or resides in any of the provinces or territories of Canada;

Canadian Participant means each Participant who is resident in Canada at the time of grant of an Option, provided that the Board may deem any Participant to be a Canadian Participant or may provide that a Participant who is resident in Canada at the time of grant of an Option is not an Canadian Participant.
