Catastrophic Defect definition

Catastrophic Defect. IS DEFINED AS A MANUFACTURING DEFECT RATE OF FIVE PERCENT (5%) OR GREATER IN ANY SHIPMENT OF LICENSED PRODUCTS TO LICENSEE.
Catastrophic Defect has the meaning ascribed thereto in subsection 3.10.
Catastrophic Defect is defined in Section 13.1.

  • If Service Restoration with respect to a Catastrophic Defect has not been achieved within thirty (30) minutes after the defect is reported by BTE to a Vendor technical support manager, as applicable, Vendor shall notify the appropriate Vendor supervisory management of the unrestored condition.

  • Such notification shall be made by means of Vendor’s call center via telephone, facsimile or e-mail commencing within sixty (60) minutes following BTE’s report to Vendor of the Catastrophic Defect and concluding within thirty (30) minutes thereafter.

  • Seller shall, within 30 days of Buyer’s demand, indemnify Buyer or its designated third party service provider for all costs and expenses of parts, labor, administrative costs, shipping costs, replacement product costs and other expenses (including reasonable attorneys’ fees and expenses) related to or arising from a Catastrophic Defect, Product recall or Product field fix.

  • Upon BTE’s report to Vendor of the existence of a Catastrophic Defect, Vendor shall notify Vendor’s Tier 3 Support via a Vendor technical support engineer and any additional Vendor personnel as needed by Product.

  • Seller shall, within ten (10) days of Buyer’s demand, indemnify Buyer or its designated third-party service provider for all costs and expenses of parts, labor, administrative costs, shipping costs, replacement Good costs and other expenses (including reasonable attorneys’ fees and expenses) related to or arising from a Catastrophic Defect or Goods recall or fix.

  • During the Initial Term of this Agreement, the Owner will have the right, but not the obligation, to require that the Vendor enter into good faith negotiations for separate agreements with any Initial Affiliate designated by the Owner (each, an "Initial Affiliate Agreement") for the supply of Products pursuant to the same prices as set forth herein and on similar warranty, Catastrophic Defect, intellectual property and indemnity terms and conditions as those set forth in this Agreement.

  • Upon the School District's report to Vendor of the existence of a Catastrophic Defect, Vendor shall notify [TBD] and any additional Vendor personnel as needed by Product.

  • Catastrophic Event : means an unforeseen event of biotic or abiotic nature caused by human action that leads to important disturbances of agricultural production systems and forest structures, eventually causing important economic damage to the farming or forestry sectors;

  • Catastrophic Damage as used hereunder is major change or damage to In- cluded Timber on Sale Area, to Sale Area, to access to Sale Area, or a combination thereof:

  • Catastrophic illness or “injury” means an illness or injury that is expected to incapacitate the employee for an extended period of time, or that incapacitates a member of the employee’s family which incapacity requires the employee to take time off from work for an extended period of time to care for that family member, and taking extended time off work creates a financial hardship for the employee because he or she has exhausted all of his or her sick leave and other paid time off.

  • Minor defect means a defect which is not a Major Defect.

  • Catastrophic illness or injury means one of the following:

  • Catastrophic injury or illness means a life-threatening injury or illness of an employee or a member of an employee's immediate family that totally incapacitates the employee from work, as verified by a licensed physician, and forces the employee to exhaust all leave time earned by that employee, resulting in the loss of compensation from the state for the employee. Conditions that are short-term in nature, including, but not limited to, common illnesses such as influenza and the measles, and common injuries, are not catastrophic. Chronic illnesses or injuries, such as cancer or major surgery, that result in intermittent absences from work and that are long-term in nature and require long recuperation periods may be considered catastrophic.

  • Latent Defect means a defect, inherently lying within the material or arising out of design deficiency, which do not manifest themselves and/or was not reasonably discoverable during Defect Liability period.

  • Latent Defects means such defects caused by faulty designs, material or work man ship which cannot be detected during inspection, testing etc, based on the technology available for carrying out such tests.

  • Mental, Nervous or Psychological Disorder means a mental or nervous health condition including, but not limited to: anxiety, depression, neurosis, phobia, psychosis; or any related physical manifestation.

  • Force Majeure Event means an event beyond the reasonable control of any party including an outbreak of a serious disease or epidemic, or quarantine or other public health emergencies, fire, flood, earthquake, explosion or other casualty or accident or act of God, or war or other violence, strike, lock-out, labour dispute, acts of any governmental body, war, insurrection, sabotage, embargo, interruption of or delay in transportation, unavailability of or interruption or delay in telecommunications or inability to obtain raw materials, supplies or power.

  • Force Majeure Events means acts of war, domestic and/or international terrorism, civil riots or rebellions, quarantines, embargoes and other similar unusual governmental actions, extraordinary elements of nature or acts of God.

  • Aggravated circumstances means circumstances in which a parent:

  • Force Majeure means an event beyond the control of the supplier and not involving the supplier’s fault or negligence and not foreseeable. Such events may include, but is not restricted to, acts of the purchaser in its sovereign capacity, wars or revolutions, fires, floods, epidemics, quarantine restrictions and freight embargoes.

  • Material Defect As defined in Section 2.02(c) hereof.

  • Obscene matter or an obscene performance means matter described in 1984 PA 343, MCL 752.361 to 752.374.

  • Degradation means a decrease in the useful life of the right-of-way caused by excavation in or disturbance of the right-of-way, resulting in the need to reconstruct such right-of-way earlier than would be required if the excavation or disturbance did not occur.

  • Environmental Defect means, with respect to any given Asset, a material violation of Environmental Laws in effect as of the Effective Time in the jurisdiction in which such Asset is located.

  • Data Breaches Party shall report to AHS, though its Chief Information Officer (CIO), any impermissible use or disclosure that compromises the security, confidentiality or privacy of any form of protected personal information identified above within 24 hours of the discovery of the breach. Party shall in addition comply with any other data breach notification requirements required under federal or state law.

  • Force Majeure Exception means any failure or delay in the performance of the Fund’s reporting obligation pursuant to Section 2.3 arising out of or caused, directly or indirectly, by circumstances beyond its reasonable control, including, without limitation, acts of God; earthquakes; flood; terrorism; wars and other military disturbances; sabotage; epidemics; riots; loss or malfunctions of utilities, computer (hardware or software) or communication services; accidents; acts of civil or military authority and governmental action. The Fund shall use commercially reasonable efforts to commence performance of its obligations during any of the foregoing circumstances.

  • Epidemic Failure means a series of repeating failures or defects resulting in at least a 0.5% failure rate for the same Product or Material during any twelve-month period.
