Certificate Rating definition

Certificate Rating. Standard & Poor's, a division of the XxXxxx-Xxxx Companies, Inc. ("S&P") and Fitch, Inc. ("Fitch") shall each assign a rating of "AAA" to the Class A Certificates and the Class R Certificate. Fitch shall assign a rating of not less than "AA" to the Class M Certificates, not less than "A" to the Class B-1 Certificates and not less than "BBB" to the Class B-2 Certificates.
Certificate Rating. With respect to the long-term unsecured debt of any institution, a long-term debt obligation rating by each Rating Agency not lower than the highest rating by such Rating Agency of any Class of Certificates then outstanding; provided, however, that the Certificate Rating will not be lower than Investment Grade by such Rating Agency.
