Chairman Fee definition

Chairman Fee means the fee, if any, payable in cash or under this Plan to an Eligible Director for service as the Chairman of a committee of the Board.

Examples of Chairman Fee in a sentence

  • Any Eligible Director who is designated as the Non-Executive Chairman is entitled to receive a Non-Executive Chairman Fee for services as the Non-Executive Chairman.

  • Each Eligible Director who joins the Board or becomes a chairperson of a committee of the Board or Non-Executive Chairman after the annual meeting of stockholders is entitled to receive a Basic Fee, Chairperson Fee or Non-Executive Chairman Fee (as applicable) multiplied by the Proration Fraction, as of the date such Eligible Director first becomes an Eligible Director, chairperson of a committee of the Board or Non-Executive Chairman.

  • To be effective, any such election relating to the Basic Fee, Chairperson Fee, Non-Executive Chairman Fee or Meeting Fees shall be made by submitting a completed and executed Election Form to the Secretary of the Company prior to the calendar year in which the Eligible Director wishes the election to be in effect and such election shall be irrevocable for such calendar year.

  • The current rate of the Basic Fee, Chairperson Fee, Non-Executive Chairman Fee and Meeting Fees are set forth on the attached Exhibit A, and may be amended from time to time by the Board or any committee given responsibility for determining Board of Director compensation.

  • Each Participant who serves as chairman of a committee of the Board will be entitled to receive a Committee Chairman Fee in such amount as will be determined from time to time by the Board, for the tenure of such service.

  • The Annual Board Chairman Fee will be paid ratably on a fiscal quarterly basis at the beginning of each quarter to each such Non-Employee Director who will be serving in the relevant capacity for such fiscal quarter.

  • Until changed by resolution of the Board, the Committee Chairman Fee will be paid in cash at an annualized rate of $4,000 in equal installments at the end of each calendar year quarter.

  • Each Eligible Director shall be entitled to elect, with respect to each year during the term of this Plan (subject to Section 6.1 below), such portion of the Annual Fee in excess of the Required Amount and such portion of the Chairman Fee, if applicable, which the Eligible Director desires to be credited in Deferred Stock Units under Section 5.1 above rather than paid in cash.

  • The amount of the Committee Chairman Fee shall be as determined from time to time in the sole discretion of the Board, with such amount initially set at Five Thousand Dollars ($5,000.00) per year.

  • Each Participant who serves as a chairman of a committee of the Board will be entitled to receive a Committee Chairman Fee in such amount as will be determined from time to time by the Board, for the tenure of such service, in addition to (and not in lieu of) any other compensation to which such Participant may be entitled pursuant to any other provision of this Policy.

  • Lead Director means, at any given time, the lead, independent member (if any) elected as such by the Board and occupying such position.

  • Committee Chair means the Chair of a Committee;

  • Chairperson means the Chairperson of the Board;

  • Chairman-cum-Managing Director means Chairman-cum-Managing Director of any of the Subsidiary Companies of Coal India Limited, presently Central Coalfields Limited, Eastern Coalfields Limited, Western Coalfields Limited, Bharat Coking Coal Limited, Central Mine Planning & Design Institute Limited, South Eastern Coalfields Limited, Northern Coalfields Limited and Mahanadi Coalfields Limited.

  • Chair means the chair of the Board;

  • Vice-Chairperson means the Vice-Chairperson of the Board.

  • Chairman means the Chairman of the Board;

  • Deputy Chairperson means the deputy chairperson from time to time of the Trust if one is appointed in accordance of rule 4 of the Third Schedule;

  • Chairman of the Board means the Chairman of the Board of the Corporation.

  • Directors Fees means the annual fees paid by any Employer, including retainer fees and meetings fees, as compensation for serving on the board of directors.

  • Vice-Chairman means the Vice Chairman of the Board.

  • Deputy Chairman means the Non-Executive Director appointed by the Council of Governors to take on the Chairman’s duties if the Chairman is absent for any reason.

  • Retainer Fee means a fee charged by a retainer health care

  • Retainer means the annual cash retainer and the additional cash retainer for committee chairs payable to a Director as established from time to time by the Board of Directors; provided, however, that the term “Retainer” shall not include that portion of the annual cash retainer as to which a right exists to make an election under, or for which a prior election is in effect under, the Terms and Conditions Regarding the Grant of Options in Lieu of Cash Directors Fees to Non-Employee Directors Under 2011 Equity Incentive Plan of Manpower Inc. (the “Option Terms”) or the Procedures Governing the Grant of Options to Non-Employee Directors Under the 1994 Executive Stock Option and Restricted Stock Plan of Manpower Inc. (the “Option Procedures”).

  • Executive Chairman means the Executive Chairman of the Board.

  • Board Chair means the chair of the Board;

  • Meeting Fees means fees for attending a meeting of the Board or one of its Committees as set forth in Section 5.3 hereof.

  • Finance Director means the Finance Director or Acting Finance Director, as the case may be, of the City.

  • Assistant Finance Director means the Assistant Finance Director or designee.

  • Nomination and Remuneration Committee means a Committee of Board of Directors of the Company, constituted in accordance with the provisions of Section 178 of the Companies Act, 2013 and the Listing Agreement.

  • Audit Committee means the audit committee of the board of directors of the Company established pursuant to the Articles, or any successor committee.

  • Alternate Director means a person elected or appointed to serve, as the occasion requires, as a member of the board of a company in substitution for a particular elected or appointed director of that company;
