CHI Financial Statements definition

CHI Financial Statements means the financial statements of Guarantor delivered pursuant to Section 5.01.
CHI Financial Statements means collectively the unaudited financial statements of CHI for the financial years ended September 30, 2004, 2003 and 2002, true copies of which are attached as Schedule 2.1.9;

CHI Financial Statements means the financial statements of Guarantor delivered pursuant to Section 5.01. “Closing Date” means the earliest date on which the conditions precedent set forth in Section 4.01 shall have been satisfied or waived in accordance with Section 9.01 of this Agreement. “Code” means the Internal Revenue Code of 1986, as amended. “Collateral” has the meaning specified in the Security Agreement. “Collateral Accounts” has the meaning specified in the Security Agreement. “Collateral Call LTV Level” has the meaning specified in the Fee and Ratio Letter. “Collateral Call Notice” has the meaning specified in Section 2.08(c). “Collateral Call Notice Deadline” has the meaning specified in Section 9.02(a). “Collateral Call Trigger Event” means, at any time, that the LTV Level exceeds the Collateral Call LTV Level, in each case, at such time, as determined by Calculation Agent. A Collateral Call Trigger Event shall be considered “cured” and no longer be in effect at the time that Borrowers voluntarily prepay the Advances and/or deliver a sufficient amount of Cash and/or Cash Equivalents to the Collateral Accounts pursuant to Section 2.08(c) to cause the LTV Level (determined based on the Market Price as in effect as of the date of the Collateral Call Trigger Event) to be less than or equal to the Maintenance LTV Level. “Collateral Requirement” means, at any time, the requirement that all steps required under applicable Law, if any, or reasonably requested by any Applicable Lender or any Custodian to ensure that the Security Agreement creates a valid, first priority, perfected Lien (subject to no other Liens, other than Permitted Liens) in favor of such Applicable Lender on all the Collateral have been taken. “Collateral Shares” means any Shares held in the Collateral Accounts. “Commitment” means, with respect to each Lender, the commitment of such Lender to make the Advances, as set forth in Schedule I hereto, subject to reduction pursuant to Section 2.01(a) and increase in connection with an Incremental Facility Amendment; provided that Administrative Agent shall update Schedule I following any Advance or prepayment of any Advance as appropriate to reflect such Advance or prepayment.
