Class 1 Common Stock definition

Class 1 Common Stock means the Class 1 common stock of the Company, par value $0.01 per share.
Class 1 Common Stock means the Class 1 common stock of the Company, par value $0.0001 per share. The termclose of business” means 5:00 p.m. (New York City time).

Examples of Class 1 Common Stock in a sentence

  • Each holder of shares of Class 1 Common Stock shall be entitled to ten (10) votes for each share thereof held.

  • Upon the conversion of any then-outstanding shares of Class 1 Common Stock into Class 2 Common Stock upon the Final Conversion Date, such conversion shall be deemed to have been made upon the Final Conversion Date.

  • On the Final Conversion Date, each one (1) issued and outstanding share of Class 1 Common Stock shall automatically, without any further action, convert into one (1) fully paid and nonassessable share of Class 2 Common Stock.

  • Seventy Million (70,000,000) shares shall be Class 1 Common Stock, with a par value of $0.01 per share, Six Million (6,000,000) shares shall be Class 2 Common Stock, with a par value of $0.01 per share, and Fifty Million (50,000,000) shares shall be Preferred Stock, with a par value of $0.01 per share.

  • Following such conversion, the reissuance of all shares of Class 1 Common Stock shall be prohibited, and such shares shall be retired and cancelled in accordance with Section 243 of the DGCL and the filing with the Secretary of State of the State of Delaware required thereby, and upon such retirement and cancellation, all references to the Class 1 Common Stock in this Restated Certificate shall be eliminated.

  • Following such conversion, the reissuance of all shares of Class 1 Common Stock shall be prohibited, and such shares shall be retired and cancelled in accordance with Section 243 of the DGCL and the filing with the Secretary of State of the State of Delaware required thereby, and upon such retirement and cancellation, all references to the Class 1 Common Stock in this Amended and Restated Certificate of Incorporation shall be eliminated.

  • Series B Common Stock means the Series B Common Stock, par value $0.01 per share, of the Company.

  • Company Class A Common Stock means the Class A common stock, par value $0.0001 per share, of the Company.

  • Class A Stock means the Company's Class A Common Stock, par value $0.01 per share.

  • Class B Common Shares means the Class B Convertible Voting Common Shares of the Company, par value $1.00 per share.

  • Company Class B Common Stock means the Class B common stock, par value $0.01 per share, of the Company.

  • Series A Common Stock means the Series A Common Stock, par value $0.01 per share, of the Company.

  • Class A Common Shares means class A common shares of a nominal or par value of US$0.00001 each in the capital of the Company having the rights provided for in the Memorandum and Articles of Association, and any shares into which such class A common shares may be converted.

  • Qualifying Preferred Stock means non-cumulative perpetual preferred stock of the Corporation that (a) ranks pari passu with or junior to all other preferred stock of the Corporation, and (b) either (x) is subject to a Qualifying Replacement Capital Covenant or (y) is subject to Intent-Based Replacement Disclosure and has a provision that prohibits the Corporation from paying any dividends thereon upon its failure to satisfy one or more financial tests set forth therein, and (c) as to which the transaction documents provide for no remedies as a consequence of non-payment of dividends other than Permitted Remedies.

  • Class A Preferred Stock means the Class A preferred stock, nominal value $0.0001 per share, of the Company.

  • Common Stock means the common stock of the Company, par value $0.001 per share, and any other class of securities into which such securities may hereafter be reclassified or changed.

  • Class A Preferred Shares shall have the meaning ascribed to it in Section 2.4(a).

  • Non-Voting Common Stock means the non-voting common stock, par value $0.01 per share, of the Company.

  • Newco Common Stock means the common stock, par value $.01 per share, of Newco.

  • Existing Common Stock means shares of common stock of Delphi that are authorized, issued, and outstanding prior to the Effective Date.

  • New Common Stock means shares of Common Stock and/or securities convertible into, and/or other rights exercisable for, Common Stock, which are offered or sold in a New Transaction.

  • Class C Ordinary Share shall have the meaning ascribed to it in Section 2.4(a).

  • Voting Common Stock means the voting common stock, par value $0.01 per share, of the Company.
