Class A-2 Advances definition

Class A-2 Advances has the meaning set forth in Section 2.1(a).
Class A-2 Advances means the Class A-2 EUR Advances, the Class A-2 GBP Advances and the Class A-2 USD Advances.

Examples of Class A-2 Advances in a sentence

  • At any time the Class A-2 Commitments or Class A-2 Advances are actively rated by Morningstar, the Borrower (or the Servicer on its behalf) shall provide Morningstar with all information reasonably requested by Morningstar in connection with the rating of the Class A-2 Commitments and Class A-2 Advances that is reasonably available to the Borrower.

  • The Servicer shall promptly provide notice of any approved Extension Request to Morningstar (via email at XXXXxxxxxxxxx@xxxxxxxxxxx.xxx); provided, that no Extension Request beyond an initial twelve month extension of the Revolving Period shall be effective unless Morningstar confirms in writing that the rating of the Class A-2 Commitments and Class A-2 Advances is not downgraded or withdrawn based on such extension.

  • At any time the Class A-2 Commitments or Class A-2 Advances are rated by Morningstar, the Borrower (or the Servicer on its behalf) shall provide Morningstar with all information reasonably requested by Morningstar in connection with the rating of the Class A-2 Commitments and Class A-2 Advances that is reasonably available to the Borrower.

  • The Servicer (via the Collateral Agent's Website) shall promptly provide notice of any approved Extension Request to Morningstar (via email at XXXXxxxxxxxxx@xxxxxxxxxxx.xxx); provided, that no Extension Request beyond an initial twelve month extension of the Revolving Period shall be effective unless Morningstar confirms in writing that the rating of the Class A-2 Commitments and Class A-2 Advances is not downgraded or withdrawn based on such extension.

  • SECTION 3.1. Each of the parties hereto waive and terminate all provisions with regard to the Class A-2 Advances, the Class A-2 Commitments, the Class A-2 Lenders and the requirements of the rating provided by Morningstar.

Related to Class A-2 Advances

  • Class A-1 Note Rate means, with respect to any Quarterly Interest Period, the interest rate per annum (computed on the basis of the actual number of days in such Quarterly Interest Period over a year of 360 days) equal to Three-Month LIBOR for the related LIBOR Reset Period plus 0.08%.

  • Class A-2 Note Balance means, at any time, the Initial Class A-2 Note Balance reduced by all payments of principal made prior to such time on the Class A-2 Notes.

  • Class A-1 Note Balance means, at any time, the Initial Class A-1 Note Balance reduced by all payments of principal made prior to such time on the Class A-1 Notes.

  • Class A-2-B Notes means the Class of Auto Loan Asset Backed Notes designated as Class A-2-B Notes, issued in accordance with the Indenture.

  • Class A-2-A Notes has the meaning assigned to such term in the Indenture.

  • Class A-2-A Interest Rate means [ ]% per annum (computed on the basis of a 360-day year of twelve 30-day months).

  • Initial Class A-1 Note Balance means $265,000,000.

  • Initial Class A-2 Note Balance means $235,000,000.

  • Class A-2 Notes means the Class A-2a Notes and the Class A-2b Notes, collectively.

  • Class A-1 Note means any of 5.604% Asset Backed Notes, Class A‑1, issued under the Indenture substantially in the form attached thereto as Exhibit A-1.

  • Class A-2 Note means any of the 0.51% Asset Backed Notes, Class A-2, issued under the Indenture substantially in the form attached thereto as Exhibit A-1.

  • Class A-3 Note Balance means, at any time, the Initial Class A-3 Note Balance reduced by all payments of principal made prior to such time on the Class A-3 Notes.

  • Initial Class A-3 Note Balance means $380,000,000.

  • Class A-1 Notes means the Class A-1 4.867% Asset-Backed Notes, substantially in the form of Exhibit A-1 to the Indenture.

  • Class A-2 Note Interest Rate means a rate per annum equal to %.

  • Class A-2 Rate means [ ]% per annum, computed on the basis of a 360-day year consisting of twelve 30-day months.

  • Class A-5 Notes means the $_________ Floating Rate Class A-5 Student Loan Asset-Backed Notes issued by the Trust pursuant to the Indenture, substantially in the form of Exhibit A thereto.

  • Class A-3 Interest Rate means [ ]% per annum (computed on the basis of a 360-day year of twelve 30-day months).

  • Class A-4 Note Balance means, as of any date, the Initial Class A-4 Note Balance reduced by all payments of principal made on or prior to such date on the Class A-4 Notes.

  • Class A-2 Monthly Interest means (i) for the initial Distribution Date, $275,916.67, and (ii) for any Distribution Date thereafter, one-twelfth of the product of (A) the Class A-2 Rate and (B) the outstanding principal balance of the Class A-2 Notes as of the preceding Distribution Date (after giving effect to all payments of principal made to the Holders of the Class A-2 Notes on or before such preceding Distribution Date).

  • Class A-1 Rate means 5.604% per annum (computed on the basis of the actual number of days elapsed during the relevant Interest Period and a 360‑day year).

  • Class A-3 Note Interest Rate means a rate per annum equal to %.

  • Class A-2-B Interest Rate means LIBOR + 0.27% per annum (computed on the basis of the actual number of days elapsed during the applicable Interest Period, but assuming a 360 day year); provided, however, that for any Interest Period for which the sum of LIBOR + 0.27% is less than 0.00%, the Class A-2-B Interest Rate shall be deemed to be 0.00%.

  • Class A-1 Note Interest Rate means a rate per annum equal to 0.64000%.

  • Class A-2b Notes means the Class A-2b Floating Rate Asset-Backed Notes, substantially in the form of Exhibit A-2b to the Indenture.

  • Class B Note Rate means % per annum, computed on the basis of a 360-day year consisting of twelve 30-day months.
