The provisions of this Section 3(b) will not apply to any grant, issuance or sale of Class A Common Stock Equivalents or other rights to purchase stock, warrants, securities or other property of the Company which is not made pro rata to the record holders of any class of shares of Class A Common Stock.
The Seal Shares issued to Xxxxxx hereunder shall be equivalent to 91% of the total combined issued and outstanding shares of Class A Common Stock and Class A Common Stock Equivalents (as hereafter defined), on a fully diluted basis.
Notwithstanding the foregoing provisions of this Section 5.7(a), such holders may collectively exercise, sell or transfer Class A Common Stock Equivalents for not more than 100,000 shares in the aggregate prior to the Exercise Date.
