Class A Exchange Ratio definition

Class A Exchange Ratio means the ratio at which AMIT Class A Shares will be converted into IPT Common Shares pursuant to the Merger Agreement.

Class A Exchange Ratio means the number of shares of Parent Class A Common Stock equal to (i) 0.9850 multiplied by the Company Class A Stock Holdings divided by (ii) the number of shares of Company Merger Stock and Dissenting Shares, rounding to the nearest one one-thousandth (.001) of a share (rounding upward in the case of any .0005 of a share).
