Class A Ownership Percentage definition

Class A Ownership Percentage means, at any time, the fraction, expressed as a percentage and rounded to the nearest thousandth of a percent, whose numerator is the number of shares owned of the Class A Applicable Stock and whose denominator is the aggregate number of outstanding shares of Class A common stock and Class B common stock of Mobileye; provided, however, that any shares of Common Stock issued by Mobileye in violation of its obligations under Article VI of this Agreement shall not be deemed outstanding for the purpose of determining the Class A Ownership Percentage.
Class A Ownership Percentage means 100% less the Class B Ownership Percentage.
Class A Ownership Percentage means, with respect to each Member and as of the date of computation, the aggregate number of Class A Interests owned by such Member divided by the total number of outstanding Class A Interests.

Examples of Class A Ownership Percentage in a sentence

  • If the Estimated Revenue Run-Rate Adjustment Amount exceeds the Final Revenue Run-Rate Adjustment Amount, Buyer shall (i) pay the Class A Ownership Percentage of the amount of such excess to Seller and (ii) deposit the Class B Ownership Percentage of the amount of such excess to the Adjustment Account, in each case in the manner and with interest as provided in Section 2.06(d) .
