If the Estimated Revenue Run-Rate Adjustment Amount exceeds the Final Revenue Run-Rate Adjustment Amount, Buyer shall (i) pay the Class A Ownership Percentage of the amount of such excess to Seller and (ii) deposit the Class B Ownership Percentage of the amount of such excess to the Adjustment Account, in each case in the manner and with interest as provided in Section 2.06(d) .
