The Option also entitles the Optionee to purchase 1,556 shares of the Company's Class B Common Stock at a price equal to $100.00 per share (the "Class B Option Exercise Price" and, collectively with the Class A Option Exercise Price, the "Option Exercise Price"), which the parties acknowledge is not less than the fair market value of one share of the Class B Common Stock as of the Effective Date.
Following the Effective Time, each Class B Optionholder shall cease to have any rights with respect to his or her Class B Options, except the right to receive the applicable Class B Option Merger Consideration for each Class B Option to be paid hereunder.
No Assignment of Shares in violation of this Agreement or the Class A Option or Class B Option shall be valid or effective, and neither the Company nor the Members shall recognize the same for the purpose of making allocations or Distributions.
If any of the preceding circumstances exist, the time for exercising the Class B Member’s option under this Section 7.03 shall toll until such time as such circumstance no longer exists and such date shall be considered the date of the Class B Option Event.
