Class B Option definition

Class B Option means an option to purchase a number of shares -------------- of Common Stock, as specified in an option agreement, identified as a "Class B Option," which shall be subject to the exercise and termination provisions set forth in Section 8(b) hereof.

Class B Option means an Option evidenced by a Class B Option Agreement.

Class B Option has the meaning set forth in Section 12.1(b)(vi).

• The Option also entitles the Optionee to purchase 1,556 shares of the Company's Class B Common Stock at a price equal to $100.00 per share (the "Class B Option Exercise Price" and, collectively with the Class A Option Exercise Price, the "Option Exercise Price"), which the parties acknowledge is not less than the fair market value of one share of the Class B Common Stock as of the Effective Date.

• In the event that HSR approval is not obtained or PM is not satisfied (as described above) with the results of its due diligence, the Class A Option and the Class B Option shall remain in effect, and PM will be entitled to assign its rights under both options in accordance with paragraph 15.

• In the event that a Material Breach by PM of this Agreement occurs, PM shall promptly prepay to the Liggett Parties the full amount of the exercise price of each of the Class A Option and the Class B Option (in each case, minus one dollar), and the exercise price of each of the Class A Option and the Class B Option shall become one dollar and such options shall thereafter become immediately exercisable.

• No Assignment of Shares in violation of this Agreement or the Class A Option or Class B Option shall be valid or effective, and neither the Company nor the Members shall recognize the same for the purpose of making allocations or Distributions.

• None of the Liggxxx Xxxties will retain any interest whatsoever in the Marks except for its ownership of the Class A Shares and the Class B Shares, subject to the exercise of the Class A Option and the exercise of the Class B Option.

More Definitions of Class B Option

Class B Option means the option to acquire 0.26664 of a Class B LP Unit in the Partnership for the subscription price of $.00001 per one (1) whole Class B LP Unit, for every Unit in the Trust sold by Selling Agents. See Item 7 - “Compensation Paid to Sellers and Finders”;

Class B Option means a Class B option to acquire Shares, awarded to an Eligible Person pursuant to the Plan;

Class B Option shall have thx xxxxixx xxxigned to it in the Philip Morris Agreement.

Class B Option means an option to acquire Class B Common Stock that is outstanding and unexercised immediately prior to the Effective Time.

Class B Option shall have the meaning set forth in Section 2.1.

Class B Option means the Class B Option to purchase shares of Common Stock granted to the Optionee pursuant to this Option Agreement and described in Section 2(b) below.

Class B Option has the meaning set forth in Section 3.02(c).
