Class D Members definition

Class D Members means holders of Class D Capital Units who have executed and agreed to be bound by this Operating Agreement.

Class D Members means the Class D Members of Genesis as defined in the Genesis Charter Documents.

Class D Members means the holders of the Class D Shares who have been admitted as Members.

Examples of Class D Members in a sentence

• The Schedule of Members sets forth the identity of all Class D Members and the number of Class D Units held by each Class D Member.

• The Managing Member may, with the consent of each of the Class B Members and Class D Members who, together with its Affiliates and Permitted Transferees, beneficially own at least 75% of the Class B Units and Class D Units in the aggregate, require all Members holding Class B Units or Class D Units to exchange all such Units held by them pursuant to the Exchange Agreement.

• In addition, the Class D Members shall be entitled to certain additional rights as expressly set forth in this Agreement.

More Definitions of Class D Members

Class D Members means all such Persons.

Class D Members means the individuals and bodies corporate who are members in the Corporation in accordance with the by-laws and are designated in this by-law as the “Sustaining Members”;

Class D Members means those persons issued Class D Non-Voting, --------------- Non-Managing Membership Units.

Class D Members means those Persons admitted to the Company as Class D Members as set forth in Exhibit A attached hereto, as such Exhibit may be amended from time to time in accordance herewith.

Class D Members means Members holding Class D Common Units pursuant to the Network Equity Plan and an Award Agreement. Class D Members shall not include any Initial Members (or their successors or assigns) who acquire Class D Common Units pursuant to this Agreement (including Sections 11.3, 12.1(e), 12.2(e) or 12.5(d) hereof) or the Buy/Sell Agreement.

Class D Members shall have the meaning provided in the TV One LLC Agreement.

Class D Members and "Class E Members" and PIK Preferred Members (Class A Members, Class B Members, Class C Members, Class D Members, Class E Members and PIK Preferred Members are referred to collectively as "Members"). The Class A, Class B, Class C, Class D, Class E and PIK Preferred Members shall be as set forth on Schedule I, which schedule ---------- shall be amended to reflect the addition or withdrawal of any Member.
