Class T-2 Common Stock definition

Class T-2 Common Stock means the nonvoting Class T-2 Common Stock, par value $.001 per share, of the Company and shall include any shares of common stock issued in exchange for or in consideration of (including shares of common stock of the surviving company in connection with a merger or similar business combination) or in substitution for the Class T-2 Common Stock, or as such shares of Class T-2 Common Stock may be reclassified.

Class T-2 Common Stock means the nonvoting Class T-2 Common Stock, par value $.001 per share, of the Corporation and shall include any shares of common stock issued in exchange for or in consideration of (including shares of common stock of the surviving company in connection with a merger or similar business combination) or in substitution for the Class T-2 Common Stock, or as such shares of Class T-2 Common Stock may be reclassified.

Class T-2 Common Stock shall have the meaning set forth in the Stockholders Agreement.

Examples of Class T-2 Common Stock in a sentence

• Prior to the issuance of any shares of Class T2 Common Stock, Class S Common Stock and Class M-I Common Stock, the Articles Supplementary will have been filed with, and accepted for record by, the SDAT.

• Each outstanding share of Class T-1 Common Stock may, at the option of the holder thereof, be converted at any time into one share of Class T-2 Common Stock, and subject to Section 5.1.1(ii) of the Stockholders Agreement, each outstanding share of Class T-2 Common Stock may, at the option of the holder thereof, be converted into one share of Class T-1 Common Stock.

• The shares of Class A Common Stock, Class S-1 Common Stock, Class S-2 Common Stock, Class T-1 Common Stock, Class T-2 Common Stock and Class T-3 Common Stock are hereinafter collectively referred to as the “Common Stock.” The Company has filed with the Securities and Exchange Commission (the “Commission”) a registration statement, including a prospectus, relating to the Shares.

• A class of Common Shares, designated as the Class T2 Common Stock, $0.01 par value per share (the “Class T2 Shares”), is hereby established.

• Notwithstanding the foregoing, nothing contained herein shall be deemed to limit or restrict in any way the right of the Televisa Investors, at any time and from time to time, to convert their shares of Class T-2 Common Stock into shares of Class T-1 Common Stock up to the Maximum Voting Percentage.

• Until so surrendered and exchanged, such certificates shall represent the portion of one share of the Class A Common Stock, Class T-1 Common Stock or Class T-2 Common Stock (as applicable) into which such share was converted.

• Except as required by applicable law, holders of Class S-2 Common Stock and Class T-2 Common Stock, in their capacity as such, shall not have or possess any voting power or voting rights.
