SCOLP shall be paid or shall receive a credit for the pro rata share of the collected Rents received for the Closing Month.
SCOLP shall either pay the Contributor or provide the Contributor with a credit for (x) all unpaid Rents from tenants who are not delinquent more than thirty days as of the Closing Date (for those residents which remain in occupancy at the Project); and (y) the pro rata share of the total unpaid Rents for the Closing Month based upon the number of days in such month.
In addition, (i) all delinquent amounts relating to the month in which the Closing occurs ("CLOSING MONTH DELINQUENT AMOUNTS") shall be collected by Buyer and, upon receipt of such amounts by Buyer, shall be divided, pro-rata, amongst Seller and Buyer in accordance with the method set out in subsection 3(b)(ii) of this Agreement, and (ii) on the Closing Date, Seller and Buyer shall prepare a list of the Closing Month Delinquent Amounts.
If the Rents have not been paid for the current month as of the Closing Date (the "Closing Month Rents"), the prorated amount of the Closing Month Rents that would be due Seller had the Lessee paid such amount for such month shall be paid to Seller at Closing by Purchaser, and Purchaser shall be responsible for collecting the Closing Month Rents from the Lessee.
To the extent Contributor continues to receive rent under the Leases as payee following the tenants’ payments of the Closing Month Rent, Contributor agrees and covenants to forthwith tender such payments to Operating Partnership and to cooperate with Operating Partnership (at no cost to Contributor) to obtain the consent of the tenants under the Leases to designate Operating Partnership as the new payee under the Leases.
At the Closings, no Rent for the Closing Month shall be prorated unless such Rent has already been received.
To the extent Contributor receives rent under the Leases following the tenants’ payments of the Closing Month Rent, Contributor agrees and covenants to forthwith tender such payments to Operating Partnership and to cooperate with Operating Partnership (at no cost to Contributor) to obtain the consent of the tenants under the Leases to designate the Property LLCs as the payees under the Leases.
Rents for the Closing Month which are collected after the Closing Date by either Seller or Buyer shall be apportioned between the parties within three (3) business days after receipt.
Calculation of the estimated amount of the Closing Month Management Fees shall be based on the daily average of the previous month’s Management Fee, such daily average to be determined by reference to the number of days in such month’s accounting period.
All rent received by Purchaser or Seller after the date of Closing shall (regardless of how designated by the Tenant) be applied first, in payment of rent for the month in which the Closing occurs (the “Closing Month”) but only with respect to rents collected during the Closing Month, second, in payment of rent due and unpaid for the months following the Closing Month and third, to the payment of rents due and unpaid for the months prior to the Closing Month.
