Examples of CMS Shares in a sentence

  • RRHL may transfer to members of the CMS Group the CMS Shares pursuant to the CMS Option or otherwise.

  • Notwithstanding the foregoing, until such time as the CMS Shares are transferred to a member of the CMS Group pursuant to the CMS Option or otherwise, RRHL shall ensure that 1,686,984 Shares are not pledged by RRHL pursuant to the Pledge Agreement.

  • In addition, this Proxy shall terminate (a) as to any Shares transferred, including pursuant to the Distribution, in accordance with the terms of the Governance Agreement and (b) with respect to CMS Shares only, upon the transfer of such CMS Shares to any member of the CMS Group pursuant to the CMS Option, the CMS RRHL Acquisition or otherwise.

  • If the New Member is an individual other than Xx. Xxxxxxxx von Rantzau or Xx. Xxxxxxxx xxx Rantzau, then immediately following the transfer of at least one million (1,000,000) CMS Shares to a member of the CMS Group pursuant to the CMS Option or otherwise, WLG and Caledonia shall remove the New Member from, or cause the New Member to resign, his office as a director of the Company.

  • Neither PGG Party is a party to any agreement or other arrangement for the disposition of any of the CMS Shares or the CMCA Shares.

  • If the New Member is an individual other than Mr. Eberhart von Rantzau or Mr. Heinrich von Rantzau, then immediately fxxxxxxxx xxx transfer of at xxxxx xxx xxxxxxx (1,000,000) CMS Shares to a member of the CMS Group pursuant to the CMS Option or otherwise, WLG and Caledonia shall remove the New Member from, or cause the New Member to resign, his office as a director of the Company.

  • CMS may acquire the CMS Shares from RRHL pursuant to an option (the “CMS Option”) or otherwise.

  • The respective sales and purchases of the CMS Shares and ----------- the CMCA Shares in exchange for the Reorganization Shares (the "Closing") shall take place concurrently at the offices of Xxxxxx & Xxxxxx, L.L.P., 000 Xxxxxxxxx, Xxxxxxx, Xxxxx at 10:00 a.m. local time on the Closing Date.

  • For purposes of determining the number of Shares that may be sold pursuant to Sections 4.2(b)(ii)(B) or 4.2(b)(ii)(C), the sale of any CMS Shares shall not be included in the determination of such number of Shares.

  • Subject to Section 5.3.l(a)(ii), if the CMS Shares are transferred to a member of the CMS Group pursuant to the CMS Option or otherwise, the CMS Group may, at its option, as part of the Minimum Year One Sale, elect to sell up to six hundred thousand (600,000) of its Shares (the number of Shares to be sold by the CMS Group, the “CMS Tag Shares”).
