Collaboration Assets definition

Collaboration Assets means, ****.

Collaboration Assets means the Compound and any of the Company’s assets and Intellectual Property rights related to the Products or the Compound, each as defined in the Collaboration Agreement.

Collaboration Assets means the Achillion Background IP (as defined in the Collaboration Agreement) licensed by the Company to Xxxxxxx pursuant to Section 2.1.1 or 2.1.2 of the Collaboration Agreement.

• Without limiting the generality of the foregoing, Protagonist may use any level of effort, or no effort, to develop, manufacture, commercialize or otherwise exploit the Collaboration Assets.

• Neither BMS nor any Selling Affiliate has engaged in any activity constituting fraud or abuse under any Health Care Laws relating to the operation of the Business, the Products, the Collaboration Assets or the Acquired Assets.

• Each of BMS and the Selling Affiliates has all corporate or comparable power and authority necessary to carry on the Business and to own and use the properties owned and used by it (including those included in the Collaboration Assets or the Acquired Assets).

Collaboration Assets means Arrowhead Intellectual Property (as defined in the License Agreement) licensed by the Company to Janssen pursuant to Section 2.1.1 or 2.1.2 of the License Agreement.
