Collaboration Payments definition

Collaboration Payments has the meaning set forth in Section 6.2.
Collaboration Payments means cash payments received by the Purchaser from any third party made to fund research and/or development in which the Purchaser and such third party collaborate together in the development and furtherance of the Technology. Any revenue earned from the sale or licensing of products or services developed through Collaboration Payments shall be included in Technology Revenue.
Collaboration Payments means the cash payments to be made (subject to Sections 6(b) and 6(e)(i)) by IAVI to Children’s and by Children’s to TGC under this Agreement as awards in support of the Research and Development Program.

  • For avoidance of doubt, any credits, offsets or other reductions available under this Agreement for Xxxxxxxx to credit against TTPs and royalties owed by Xxxxxxxx to Palomar (taking into account Section 6.6(b)) shall not be used to reduce any Annual Exclusivity Collaboration Payments.

  • The amount transferred must be the lesser of 10% of the total of the particular item in the Collaboration Services Budget or $10,000 from which the Collaboration Payments are being transferred.

  • Par shall furnish Advancis, and Advancis shall furnish Par, such additional information as the other Party may reasonably request from time to time, to the extent that such information is reasonably available, to ascertain the amount of Collaboration Payments and any other amounts due Advancis under the Agreement.

  • In the event that any such inspection reveals a deficiency in excess of five percent (5%) of the reported Collaboration Payments for the period covered by the inspection, Par shall promptly pay Advancis (i) the deficiency, plus interest (at the rate payable for overdue payment items pursuant to Section B.5.3) and (ii) the full costs of such inspection.

  • The amount transferred must be the lesser of 10% of the total of the particular item in the Budget or $10,000 from which the Collaboration Payments are being transferred.

  • Par shall pay Collaboration Payments, if any, to Advancis for each calendar quarter within thirty (30) days after the end of such calendar quarter in which Net Sales of Products by Par occur, such payment to be made by wire transfer of immediately available funds, in United States dollars, to an account designated in advance by Advancis.

Collaboration Payments means the cash payments to be made by IAVI to CRI, CHOP or TGC under this Agreement, pursuant to Section 3.5.2.

Related to Collaboration Payments

  • Production Payments means, collectively, Dollar-Denominated Production Payments and Volumetric Production Payments.

  • Volumetric Production Payments means production payment obligations recorded as deferred revenue in accordance with GAAP, together with all undertakings and obligations in connection therewith.

  • Sublicense Fees shall have the meaning set forth in Section 7.3 below.

  • Royalty Payments has the meaning set forth in Section 7.3.1.

  • Milestone Payments means payments made in connection with any Permitted Acquisition or other acquisition (including any license or the acquisition of any license) of any rights in respect of any drug or other pharmaceutical product (and any related property or assets) to sellers (or licensors) of the assets or Equity Interests acquired (or licensed) therein based on the achievement of specified revenue, profit or other performance targets (financial or otherwise).

  • Termination Payments has the meaning specified in Section 10(a).

  • Production Payment means a production payment obligation (whether volumetric or dollar denominated) of the Borrower or any of its Restricted Subsidiaries which are payable from a specified share of proceeds received from production from specified Oil and Gas Properties, together with all undertakings and obligations in connection therewith.

  • Separation Payment means any lump sum cash payment in excess of Earned Salary and Accrued Obligations payable to Employee under this Agreement.

  • Capitation Payment means a payment the STATE makes periodically to the MCO for each Enrollee covered under the Contract for the provision of services as defined in Article 6 regardless of whether the Enrollee receives these services during the period covered by the payment.

  • Development Expenses means, with respect to SAIL Developments as well as HOME Developments when the HOME Development is also at least partially financed with a MMRB Loan (as defined in rule Chapter 67-21, F.A.C.), usual and customary operating and financial costs, such as the compliance monitoring fee, the financial monitoring fee, replacement reserves, the servicing fee and the debt service reserves. As it relates to SAIL Developments as well as HOME Developments when the HOME Development is also at least partially financed with a MMRB Loan (as defined in rule Chapter 67-21, F.A.C.) and to the application of Development Cash Flow described in subsections 67-48.010(5) and (6), F.A.C., as it relates to SAIL Developments or in paragraph 67-48.020(3)(b), F.A.C., as it relates to HOME Developments, the term includes only those expenses disclosed in the operating pro forma on an annual basis included in the final credit underwriting report, as approved by the Board, and maximum of 20 percent Developer Fee per year.

  • Exception Payments means payments to deposit accounts or brokerage accounts, payments to settle securities transactions (including, without limitation, stocks, bonds, securities, futures (forex), options, or an investment interest in any entity or property).

  • Sublicense Revenues means [***].

  • Development Fees means fees imposed to offset capital costs of providing public infrastructure, public safety or other public services to a development and authorized pursuant to A.R.S. Section 9-463.05, A.R.S. Section 11-1102 or A.R.S. Title 48 regardless of the jurisdiction to which the fees are paid.

  • Sublicense Revenue means [***].

  • Commercialization Costs means the out-of-pocket costs and expenses incurred by Adapt or its Affiliates directly attributable to, or reasonably allocable to, the Commercialization of a Product. Commercialization Costs for a Product shall include, preparation of promotional, advertising, communication, medical, and educational materials relating to the Product and other Product literature and selling materials, activities directed to marketing of the Product, including purchase of market data, development and conduct of market research, advertising, public relations, public affairs and other communications with Third Parties regarding the Product; development and conduct of sales force training (including materials, programs and travel to and attendance at training programs) for medical representatives responsible for promoting the Product; and development and maintenance of sales bulletins, call reporting and other monitoring/tracking, sales force targeting, validation and alignment programs and documentation.

  • License Fees means all non-refundable fees payable by Licensee to OT with respect to the granting of Software Licenses; “License Model” means the description of the conditions, limitations and restrictions associated with the Software License which govern the use of the Software, as set out in the applicable License Model Schedule;

  • Sublicense Income means any payments that Company receives from a Sublicensee in consideration of the sublicense of the rights granted Company under Section 2.1., including without limitation license fees, royalties, milestone payments, and license maintenance fees, but excluding the following payments: (a) payments made in consideration for the issuance of equity or debt securities of Company at fair market value, and (b) payments specifically committed to the development of Licensed Products.

  • Royalties means all royalties, fees, expense reimbursement and other amounts payable by a Loan Party under a License.

  • Development Milestone Payment shall have the meaning set forth in Section 9.2(a).

  • Lease Termination Payments means all payments received by or on behalf of any Seller with respect to a Lease with respect to any terminations, surrenders, modifications, renewals or amendments of any such Lease.

  • Development Contribution means the amount of money referred to in item 5 of the Schedule;

  • Development Costs means costs incurred to obtain access to reserves and to provide facilities for extracting, treating, gathering and storing the oil and gas from reserves. More specifically, development costs, including applicable operating costs of support equipment and facilities and other costs of development activities, are costs incurred to:

  • Event Payments has the meaning set forth in Section 6.1(d).

  • Collaboration Product means a pharmaceutical product containing or comprising Compound in any dosage form alone, or in combination with, one or more other pharmaceutically active ingredients, and any and all Improvements thereto.

  • Third Party Royalties means royalties or payments actually paid by the Company or its Affiliates to an unaffiliated third party for the right to use or exploit technology, products or proprietary rights of such third party to create or sell Licensed Product/s, which third party’s rights would otherwise be infringed or violated.

  • License Fee means the amount payable by the licensee to DMRC as per rates offered by the Selected Bidder for utilization of licensed space and accepted by DMRC to be paid by the Licensee along with other charges and any kind of Central or State Taxes, local levies, statutory dues, etc. that may be payable by the licensee as per prevalent law.
