Purchaser agrees to timely dispose, at Purchaser’s cost, of all of the assets at the Columbia Facility set forth on Exhibit A attached to this Second Amendment.

If the Class 4B Exchange is treated as a recapitalization, a U.S. Holder of an allowed Class 4B Columbia Facility Claim generally should not recognize capital gain or loss pursuant to the Class 4B Exchange.
