Commitment Year definition

Commitment Year means a twelve-month period commencing on each anniversary of the Effective Date.

• Commencing on the 13th Amendment Effective Date and for the remainder of the Term, Customer’s new AVC will be $1,555,000 in Total Service Charges, or a pro rata portion thereof for any partial Commitment Year remaining in the Term.

• If the Customer fails to meet the AVC during the first Commitment Year of the Term, the Company will permit the Customer to carry forward to the immediately following Commitment Year an amount equal to the difference between the AVC and the Customer’s total service charges during the first commitment year provided it does not exceed 10% of the AVC.

• Minimum Annual Volume Commitment (“AVC”): Customer agrees to pay Company no less than $2,000,000 in Total Service Charges during each Commitment Year.

Commitment Year means each one-year period following the Effective Date.

Commitment Year means each calendar year during the term of this Agreement and, in respect of the First Commitment Year, the period commencing on the Effective Date and terminating on December 31, 1996.
