Committed Financing Sources definition

Committed Financing Sources means the entities that have committed to provide or otherwise entered into agreements with respect to the Committed Financing and their respective Affiliates.
Committed Financing Sources has the meaning set forth in Section 6.15(b).
Committed Financing Sources means the Persons that have committed to provide, are arrangers, initial purchasers, underwriters, agents, lenders or other entities under or with respect to, or otherwise entered into agreements in connection with, the Debt Commitment Letter, including any Alternative Committed Financing in connection with the Merger if obtained as contemplated by Section 8.06(d), and any joinder agreements or credit agreements entered into pursuant thereto or relating thereto, together with their Affiliates, officers, directors, employees, controlling persons and representatives involved in the Financing and their successors and assigns.

Examples of Committed Financing Sources in a sentence

  • No waiver of any provision hereunder or any breach or default thereof shall extend to or affect in any way any other provision or prior or subsequent breach or default; provided, further that no amendment, supplement or change may be made to Section 11.06, Section 11.10, Section 12.09, Section 12.12 or this Section 12.07 that adversely impacts any Committed Financing Source without the prior written consent of the Committed Financing Sources adversely impacted thereby.

  • To the extent any amendment or modification to Sections 13.4, 13.6, 13.10 or 13.13 is sought which is adverse to the rights of the Committed Financing Sources, the prior written consent of the Committed Financing Sources shall be required before such amendment or modification is rendered effective.

Committed Financing Sources means the lenders participating in the Debt Financing pursuant to one or more Debt Commitment Letters, and the lenders which become parties to any joinder agreements, indentures or credit agreements entered into pursuant to the Debt Commitment Letters or related thereto, provided, however, Committed Financing Sources shall not include Buyer, Sponsor, or any of their respective Affiliates.
Committed Financing Sources means each Debt Financing Source party to the Bridge Financing Agreement or the Commitment Letter or that has otherwise entered into any committed agreements with respect to any Debt Financing, including any other commitment letter or other documentation with respect to any permanent financing and any amendments, supplements, joinder agreements and definitive documentation relating thereto, together with their respective Affiliates, officers, directors, employees, agents, advisors, and representatives and their respective successors and permitted assigns.

Related to Committed Financing Sources

  • Debt Financing Sources means the Persons that have committed to provide, or otherwise entered into agreements in connection with, the Debt Financing (including the parties to any joinder agreements, credit agreements or other definitive agreements relating thereto) and their respective Affiliates and such Person’s (and their respective Affiliates’), officers, directors, employees, attorneys, advisors, agents and representatives involved in the Debt Financing and their successors and permitted assigns.

  • Financing Sources means the Persons (including the parties to the Commitment Letter) that have committed to provide or otherwise entered into agreements in connection with the Financing, or alternative financings in connection with the transactions contemplated by this Agreement, and any joinder agreements, indentures or credit agreements entered into pursuant thereto or relating thereto together with their Affiliates, officers, directors, employees and representatives involved in the Financing and their successors and assigns.

  • Financing Source means the Persons (including lenders, agents and arrangers) that have committed to provide or otherwise entered into agreements in connection with the Financing in connection with the Transactions, and any joinder agreements, indentures or credit agreements entered into pursuant thereto or relating thereto, together with their Affiliates and Representatives involved in the Financing and their respective successors and assigns.

  • Debt Financing has the meaning set forth in Section 5.7.

  • Permitted Financing means (i) the Company’s issuance of Common Stock and warrants therefore in connection with a merger and/or acquisition or consolidation, (ii) the issuance of shares of Common Stock or warrants therefore in connection with strategic license agreements so long as such issuances are not for the purpose of raising capital, (iii) the Company’s issuance of Common Stock or the issuance or grants of options to purchase Common Stock pursuant to the Company’s stock option plans and employee stock purchase plans as they now exist, and (iv) the issuance of Common Stock upon the exercise or conversion of any securities outstanding on the date hereof.

  • Alternative Financing has the meaning set forth in Section 5.14(b).

  • Financing Commitment shall have the meaning set forth in Section 6.4.

  • Financing Commitments has the meaning set forth in Section 5.7.

  • Refinancing Commitments shall have the meaning provided in Section 2.14(h).

  • Exit Financing means the financing under the Exit Facility.

  • Bridge Financing has meaning set forth in Section 7.6.

  • Existing Financing means the financing arrangements that provided for a security interest granted by Company in the Aircraft and that were outstanding on August 3, 2020.

  • Commitment Parties means the “Commitment Parties” as defined in the Commitment Letter.

  • Additional Financing means the sale by the Company of additional Units as contemplated by the registration statement on Form SB-2 filed by the Company with the SEC on September 13, 2006, as amended from time to time thereafter.

  • Debt Financing Documents means the agreements, documents and certificates contemplated by the Debt Financing.

  • Pricing Sources means the sources of financial information commonly known as Bloomberg, Bridge Information Services, Data Resources Inc., Interactive Data Services, International Securities Market Association, Xxxxxxx Xxxxx Securities Pricing Service, Xxxxxx Data Corporation, Reuters, Wood Gundy, Trepp Pricing, XX Xxxxx, S&P and Telerate.

  • Commitment Letters has the meaning set forth in Section 4.5.

  • Co-financing means the financing referred to in Section 7.02 (h) and specified in the Loan Agreement provided or to be provided for the Project by the Co-financier. If the Loan Agreement specifies more than one such financing, “Co-financing” refers separately to each of such financings.
