Except as is not reasonably likely to have a Material Adverse Effect, all fees due and payable to the FCC or any other Communications Regulatory Authority have been paid and no event has occurred which, with or without the giving of notice or lapse of time or both, would constitute grounds for revocation or modification of any Licenses.
