The Trustee is not obligated to defend actions in which the Trustee is named, but shall notify the Company or Committee of any such action and may tender defense of the action to the Company, Committee, Participant or Beneficiary whose interest is affected.
The provisions of this Agreement may be amended and waived only with the prior written consent of the Company, Committee and the Grantee.
