Examples of Company Continuing Employee in a sentence
Nothing contained in this Agreement shall confer upon any employee any right with respect to continued employment by Parent or Surviving Corporation, nor shall anything herein interfere with the right of Parent or Surviving Corporation to terminate the employment of any employee (including any Company Continuing Employee) at any time, with or without cause, following the effective date of his or her employment with Parent or Surviving Corporation.
The Purchaser shall assume and be responsible for all hospital, medical, life insurance, workers’ compensation, disability and other benefit plan expenses and benefits for each Company Continuing Employee with respect to claims incurred by such Company Continuing Employee or such Company Continuing Employee’s covered dependents on or after the Closing Date in accordance with the terms of any applicable benefit plan maintained by the Purchaser for the Company Continuing Employee.
This Section 5.09 shall not apply to any Company Continuing Employee who is covered by a collective bargaining or similar agreement.
The parties hereto acknowledge and agree that the terms set forth in this Section 5.06 shall not create any right in any Company Employee (including any Company Continuing Employee) or any other Person to any continued employment with the Surviving Corporation, Parent, or any of their respective Subsidiaries or compensation or benefits of any nature or kind whatsoever, or otherwise alters any existing at-will employment relationship between any Company Employee and the Surviving Corporation.
Nothing in this Agreement shall require Parent, the Surviving Corporation or any of its Affiliates to maintain the employment of any Company Continuing Employee for any defined period of time.
