Company Equity Securities definition

Company Equity Securities means the Shares and any other equity securities of the Company.

Company Equity Securities means all shares of Company Capital Stock now or hereafter issued and all Options or Convertible Securities now or hereafter issued.

Company Equity Securities means, collectively, the Company Common Stock, the Company Options and the Restricted Stock.

Examples of Company Equity Securities in a sentence

• The Company covenants to the Holder that, from the date hereof until the earlier of its IPO or until all amounts owing hereunder have been paid in full or this Note has been converted, the Company shall not, without the prior written consent of the Majority Note Holders, make any declaration or payment of dividends or other distributions, redemption or repurchase or any other payment on or with respect to any Company Equity Securities other than the Notes.

• Any attempted Transfer of Company Equity Securities in violation of the provisions of this Agreement shall be null and void ab initio and of no effect.

• Such notice shall specify the Company Equity Securities the Company proposes to issue, the proposed date of issuance, the consideration that the Company intends to receive therefor and all other material terms and conditions of such proposed issuance.

• The Company will prepare and file with the Commission, promptly upon the Sales Manager’s reasonable request, any amendments or supplements to the Registration Statement or Prospectus that, in the Sales Manager’s reasonable opinion, may be necessary or advisable in connection with the sale of the Company Equity Securities pursuant to this Agreement.

• If such termination shall occur during a period when sales of Company Equity Securities are being made pursuant to this Agreement, any sales of Company Equity Securities made prior to the termination of this Agreement shall settle in accordance with the provisions of this Agreement.

More Definitions of Company Equity Securities

Company Equity Securities means the Equity Securities of the Company.

Company Equity Securities means any Capital Stock of the Company or options, warrants or other rights acquire Capital Stock of the Company.

Company Equity Securities means the Company Common Shares or Company Preferred Shares or any securities conferring the right to purchase the Company Common Shares or Company Preferred Shares or securities convertible into, or exchangeable for (with or without additional consideration), the Company Common Shares or Company Preferred Shares, except any security granted, issued and/or sold by the Company to any director, officer, employee or consultant of the Company in such capacity for the primary purpose of soliciting or retaining their services.

Company Equity Securities means the Membership Interests of the Company issued under the Company LLC Agreement.

Company Equity Securities has the meaning ascribed thereto in Section 1.2(b)(vi) of Schedule E;

Company Equity Securities shall have the meaning set forth in Section 3.03(b).

Company Equity Securities means (a) any Shares and (b) any other Equity Securities of any of the Companies.
