Company Holders definition

Company Holders is defined in the Preamble to this Agreement.

Company Holders means, collectively, the holders of Company Capital Stock and Company Options.

Company Holders means the holders of Common Shares, Preferred Shares, the Warrants and/or Options, in each case outstanding immediately prior to the Effective Time.

Examples of Company Holders in a sentence

• After payment to the Company, Holders entitled to the money must look to the Company for payment as general creditors unless an applicable abandoned property law designates another Person, and all liability of the Trustee and the Paying Agent with respect to such money shall cease.

• After return to the Company, Holders entitled to the money or securities must look to the Company for payment as general creditors unless an applicable abandoned property law designates another person.

More Definitions of Company Holders

Company Holders means the Company Stockholders (other than a holder solely of shares of Company Capital Stock which constitute and remain Dissenting Shares), Company Optionholders and Company Warrantholders, collectively, in each case as of immediately prior to the Effective Time.

Company Holders means the holders of Company Capital Stock as of immediately prior to the Effective Time (other than holders of Dissenting Shares).

Company Holders shall have the meaning given in the Recitals.

Company Holders means any Common Holder and any Person who acquires shares of Common Stock pursuant to the Option Plan as a result of the exercise of options granted thereunder after the date hereof.

Company Holders means, collectively, the Company Stockholders, holders of Outstanding Company Options and holders of Company Warrants and the participants in the Company Sale Bonus Plan, in each case as of immediately prior to the Effective Time.

Company Holders means the Blocker Corporations, Class A Members, Class B Members, Class C Members, Option Holders, Warrant Holders and Profits Interest Holders.

Company Holders means the Company Stockholders, the Company Option Holders and the Company Warrant Holders. For the avoidance of doubt, no holder of Company RSUs shall be deemed to be a Company Holder by virtue of holding Company RSUs.
