All outstanding Company Options were granted pursuant to the terms of the Company Option Plan.
Except as identified on Schedule 2, all of the Shares and Options referred to above are owned free and clear of all security interests, liens, claims, pledges, options, rights of first refusal, agreement, limitations on the Principal Stockholder's voting rights, charges and other encumbrances of any nature whatsoever (collectively, "Liens") except, with respect to the Options, the Company Option Plan and any agreements executed pursuant thereto pursuant to which such Options were issued.
