Examples of Company Share Award in a sentence
Notwithstanding anything herein to the contrary, with respect to any Company Share Award that constitutes nonqualified deferred compensation subject to Section 409A of the Code and that the Company determines prior to the Effective Time is not eligible to be canceled in accordance with Treasury Regulation Section 1.409A-3(j)(4)(ix)(B), such payment will be made at the earliest time permitted under the applicable Company Share Award that will not trigger a Tax or penalty under Section 409A of the Code.
At the Effective Time, each outstanding Unvested Company Share Award shall automatically and without any action on the part of the holder thereof, be cancelled for no consideration and cease to represent an option.
Notwithstanding anything to the contrary in this Agreement, each holder of any Company Share Awards that are Rollover Securities under the Support Agreement, shall not be entitled to receive any Option Consideration or Per Share Merger Consideration, or be converted into equity incentive award of Parent (as the case may be) pursuant to Sections 3.1(f)(ii) to 3.1(f)(iv) with respect to such Company Share Award.
Each Company Share Award that is a Rollover Security under the Support Agreement shall, automatically and without any action on the part of the holders thereof, be cancelled at the Effective Time in accordance with the terms of the Support Agreement.
With respect to the Company Share Plan, (i) each holder of a Company Option, Company RSU, Company Restricted Share, or SAR, will cease to have any rights with respect thereto, except the right to receive the Option Consideration, SAR Consideration, and Restricted Company Share Award Consideration, as applicable, payable at the time and in the manner set forth in Section 2.04(d) and (ii) as of immediately prior to the Effective Time, the Company Share Plan will terminate.
